On August 25, 2026, Anne Bramnan, a member of the Board of Directors (the “Board”) of McCormick & Company, Incorporated (the “Company”) and the Chair of the Audit Committee of the Board, informed the Board that she intends to resign from the Board. Ms. Bramman’s decision to resign from the Company’s Board is due to her recent appointment as Executive Vice President and Chief Financial Officer of Best Buy Co., Inc. (NYSE:BBY) and the time commitments which such position will require. To support an orderly transition, Ms. Bramman will step down as Chair of the Audit Committee effective September 1, 2026, but will remain a member of the Board and Audit Committee until she resigns from the Board effective November 30, 2026. Valarie Sheppard, current member of the Board and Audit Committee will assume the role of Chair of the Audit Committee effective September 1, 2026. Ms. Bramman’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
