Comment for Type of Reporting Person: (1) Consists of 5,126,715 shares of Class B Common Stock of MNTN, Inc. (the "Issuer") directly held QUALCOMM Incorporated (the "Reporting Person"). The Issuer maintains a dual-class share structure consisting of Class A Common Stock and Class B Common Stock. Each share of Class B Common Stock is convertible at any time, at the option of the holder, or mandatorily upon the occurrence of certain events, into one share of Class A Common Stock. In addition, each share of Class B Common Stock will convert automatically into one share of Class A Common Stock upon any transfer, whether or not for value, except for certain permitted transfers. Each share of Class B Common Stock is entitled to ten votes, and each share of Class A Common Stock is entitled to one vote. The rights of the holders of Class A Common Stock and Class B Common Stock are identical, except with respect to conversion, voting and transfer rights as noted above. (2) Assumes conversion of all the Reporting Person's beneficial ownership of shares of Class B Common Stock into shares of Class A Common Stock.
