Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Strategy Inc filed amended certificates for its STRF, STRC, STRK and STRD preferred-stock series. Stockholders approved the amendments on October 28, 2026. The STRC certificate becomes effective November 1, 2026, and the STRF, STRK and STRD certificates become effective January 1, 2027.

The amendments set a dividend record date on each calendar day, with payment on the following Business Day if declared. They do not change the series’ regular dividend rates, total regular dividends payable or the company’s overall dividend payment obligations. Upon the STRC certificate’s effectiveness, November daily dividends will be payable under their terms, and the November 15 dividend will not be payable.

record date financial
"a record date on each calendar day"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
Business Day financial
"payable on the following Business Day"
A business day is any weekday when banks, stock exchanges and most government offices are open for normal operations, excluding weekends and public holidays. For investors it matters because transaction timing, settlement of trades, filing deadlines and interest calculations are all measured in business days—think of it as the financial world’s working calendar that determines when money moves and official actions take effect.
Contingent Dividend Condition technical
"subject to the satisfaction of the following events"
Regulation FD regulatory
"in compliance with its disclosure obligations under Regulation FD"
Regulation FD is a rule that prevents company insiders, like executives, from sharing important information with some people before others get it. It matters because it helps ensure all investors have equal access to key news, making the stock market fairer and reducing chances of insider trading.

Each A&R CoD provides for regular dividends to have a record date on each calendar day and to be payable (if declared) on the following Business Day (as defined in the applicable A&R CoD), together with such conforming and related changes as set forth therein. The modification does not increase or decrease the total amount of regular dividends payable on the STRF Stock, the STRC Stock, the STRK Stock or the STRD Stock, change any of STRF Stock’s, STRC Stock’s, STRK Stock’s or STRD Stock’s dividend rates, increase or decrease the Company’s overall dividend payment obligations, or, other than as it pertains to the change in the frequency of dividend payments and other related changes, change the applicable rights and protections associated with each of STRF Stock, STRC Stock, STRK Stock and STRD Stock dividends.
