Item 1.01

Entry into a Material Definitive Agreement.

On August 17, 2026, MasTec, Inc., a Florida corporation (the “Company”), completed its previously announced public offering of $650.0 million aggregate principal amount of its 5.850% senior unsecured notes due 2036 (the “2036 Senior Notes”). The 2036 Senior Notes were issued on August 17, 2026, under an indenture dated as of June 5, 2009, by and among the Company, the Company’s subsidiaries party thereto, as guarantors, and U.S. Bank Trust Company, National Association, as trustee (the “Trustee”) (the “Base Indenture”), as supplemented by a twenty-second supplemental indenture, dated as of August 17, 2026, by and between the Company and the Trustee relating to the 2036 Senior Notes (the “Twenty-Second Supplemental Indenture” and, together with the Base Indenture, the “Indenture”).

Pursuant to the terms of the Indenture, the 2036 Senior Notes are senior unsecured obligations of the Company and rank equally with all of the Company’s other senior unsecured indebtedness. The 2036 Senior Notes are effectively subordinated to all secured indebtedness of the Company, to the extent of the value of the assets securing such indebtedness. The 2036 Senior Notes are not guaranteed by any of the Company’s subsidiaries and are therefore structurally subordinated to all of the obligations of the Company’s subsidiaries, including trade payables.

The Company may redeem the 2036 Senior Notes, in whole or in part, at any time at redemption prices specified in the Indenture.

The 2036 Senior Notes bear interest at an annual rate of 5.850%. Interest on the 2036 Senior Notes is payable by the Company on March 30 and September 30 of each year, beginning on March 30, 2027. The 2036 Senior Notes will mature on September 30, 2036. The Indenture provides for customary events of default and remedies.
