Rhea-AI Filing Summary

NewtekOne, Inc. (NEWT) exchanged $24.0 million of its 8.125% Senior Notes due 2027 for $24.0 million of newly issued 8.125% Fixed Rate Senior Notes due February 1, 2029. The new notes may be redeemed in whole, but not in part, at the company’s option, with redemption prices and notice periods varying depending on whether redemption occurs before February 1, 2028 or on or after that date. The exchange was a private placement to institutional accredited investors; the new notes are unregistered and may be offered or sold in the United States only if registered or an applicable exemption applies.

Item 8.01 Other Events Other
Voluntary disclosure of events the company deems important to shareholders but not covered by other items.

Redemption notice Not less than 10, but not more than 60 days Notice to holders of the New Senior Notes
quarterly in arrears financial
"payable quarterly in arrears on February 1, May 1, August 1 and November 1"
Payment or settlement that is made after each three-month reporting period rather than in advance; it means money owed for a quarter is paid at the end of that quarter or shortly thereafter. For investors, this affects the timing of cash flows and accounting records—similar to receiving rent at the end of a month instead of at the start—so revenues, expenses, and reported cash balances may lag the activity they relate to.
redemption price financial
"at a redemption price equal to 100% of the outstanding principal amount"
The redemption price is the amount of money a person receives when they sell or redeem a bond or investment before it matures. It’s important because it determines how much you get back and can affect your overall profit or loss on the investment. Think of it like the price you get when returning a gift card early—it's the value you receive at that time.
institutional accredited investors regulatory
"to institutional accredited investors"
Large financial organizations—such as banks, pension funds, insurance companies, endowments and asset managers—that meet regulatory criteria based on size or experience to buy private, complex, or otherwise restricted securities. They matter to investors because their participation brings big pools of capital, often affects pricing and liquidity, and signals confidence or concern in an offering the way a well-known backer can sway public opinion about a new product.
Section 4(a)(2) regulatory
"in reliance on Section 4(a)(2) of the Securities Act"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.
