Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Nexa Resources S.A. reported a third-quarter loss per share of USD (0.47), compared with earnings per share of USD 0.52 a year earlier. For the first nine months, earnings per share were USD 0.72 versus USD 0.62. Nine-month impairment losses totaled USD 123,146, including USD 60,297 at Juiz de Fora and USD 58,033 at Três Marias System.

Controlling shareholder Votorantim agreed to transfer its Nexa shares to Boliden in a share-for-share exchange, receiving 0.250 newly issued Boliden common shares per Nexa common share. If completed, Boliden is expected to hold approximately 64.68% of Nexa. The transaction remains subject to customary conditions, including shareholder and regulatory approvals, and is expected to close in the first quarter of 2027. Nexa will receive no proceeds; subject to closing, Boliden agreed to launch a voluntary cash tender offer for the remaining Nexa shares. The transaction was incomplete as of September 30, 2026.

Management reported no material impacts from Middle East tensions or weather conditions as of September 30, 2026. To prepare for possible El Niño-related disruption in the fourth quarter of 2026 and first quarter of 2027, Nexa acquired additional concentrate volumes to increase inventory.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

USD 234,911 in tax claim payments remains recorded as an asset while challenges continue; the payments do not themselves settle the disputes.

Nexa's October 29 Form 6-K furnishes interim financial statements for the nine months ended September 30, 2026. It reports a USD 40,000 export-advance loan due in one payment on November 27, 2026; Nexa says it expects to repay the loan at maturity.

The filing records USD 234,911 in tax claim payments as an asset. It says the payments preserve Nexa's challenges to the assessments and do not settle them; depending on the final outcomes, they may be recovered, offset against future tax obligations, or applied against recognized tax liabilities.

Adjusted EBITDA financial
"Segment performance is assessed based on Adjusted EBITDA"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
fair value less costs of disposal financial
"Recoverable amounts were determined based on fair value less costs of disposal"
share-for-share exchange financial
"through a share-for-share exchange"
A share-for-share exchange is a deal where owners of one company receive shares in another company instead of cash when two businesses combine or one buys the other. Think of it as swapping coupons: you trade your ticket from one brand for a proportional number of tickets in the merged brand, so your stake depends on the agreed exchange rate and the future performance of the combined company. Investors care because the swap changes ownership percentages, can dilute or concentrate holdings, and ties their return to the new company’s success rather than immediate cash.
voluntary cash tender offer regulatory
"commence a voluntary cash tender offer"
cash-generating unit financial
"carrying amount of an asset or cash-generating unit"

(b)Tax claim payments

During the previous quarters of 2026, the Company made payments totaling USD 142,787 in connection with uncertain income tax positions in Peru, as described in note 8 (c). Of this amount USD 87,328 was recognized as “Tax claim payments” within “Other assets.”

In the three-month period ended on September 30, 2026, the Company made an additional payment of USD 16,654 in connection with uncertain income tax positions in Peru related to the 2016-2017 tax periods, also recognized as “Tax claim payments” within “Other assets”, as explained in note 8 (c).

(c)New loans and prepaid operations

On March 4, 2026, the Company entered into an Export Prepayment Loan agreement (ACC”) for a principal amount of USD 40,000, at an annual interest rate of 4.69%. The loan originally had a six-month tenor, maturing on August 31, 2026, and was subsequently extended for an additional three months at an annual interest rate of 4.75%, therefore maturing on November 27, 2026. The loan is repayable in a single installment upon submission of the supporting export documentation.

During the nine-month period ended September 30, 2026, the Company received customer advances totaling USD 62,353 under commercial agreements, comprising USD 11,193 from Nexa BR, USD 16,160 from Nexa CJM, and USD 35,000 under an addendum to an existing agreement for the sale of concentrates produced by Nexa Perú’s Cerro Lindo unit, all of which were received in September 2026. These amounts were recognized as “Other liabilities,” and the related revenue will be recognized as the corresponding performance obligations are satisfied upon delivery of the products, which is expected to occur within three months. For further details, refer to Note 12 (b).

(d)Silver streaming agreement

During the second quarter of 2026, Nexa UK achieved the cumulative delivery commitment of 19.5 million ounces established under the silver streaming arrangement. Consequently, the percentage of silver contained in the concentrates produced by the Cerro Lindo mining unit subject to the streaming arrangement was reduced from 65% to 25%, in accordance with the contractual terms, effective from May 2026.

Upon reaching the contractual threshold, the Company began accounting for the streaming arrangement based on the revised silver delivery percentage. The deferred revenue balance will continue to be recognized prospectively over the remaining term of the agreement.

Additionally, in September 2026, Nexa recognized a USD 50,852 reduction in revenue (September 30, 2025: USD 24,637) related to the annual remeasurement of the silver streaming agreement, reflecting higher long-term silver prices and updates to the Cerro Lindo life-of-mine plan, as well as USD 8,205 of interest accretion. Under the Company’s silver streaming accounting policy, changes in prices and the life of mine (“LOM”) resulting from updated mining plans are treated as variable consideration. Accordingly, previously recognized revenue was adjusted to reflect these updated assumptions, with a corresponding increase in deferred revenue.

(e)Iran conflict impacts on the Company´s financial statements and operations

Ongoing geopolitical tensions involving the United States, Israel, and Iran have significantly heightened security concerns and increased global economic uncertainty. In June 2026, the United States and Iran announced a Memorandum of Understanding intended to cease hostilities and support negotiations toward a broader resolution of the conflict. However, subsequent developments, including incidents affecting maritime navigation and regional security, resulted in renewed tensions and continued geopolitical uncertainty. As of the date of this report, the situation in the Middle East remains volatile, with ongoing risks to global trade routes, including the Strait of Hormuz and the Bab al-Mandab Strait, as well as potential impacts on energy markets and broader macroeconomic conditions.

Consequently, the geopolitical landscape remains uncertain. In this context, Nexa conducted an initial cross-functional assessment, incorporating inputs from Supply Chain, Market Intelligence, Commercial, and Strategic Planning, to monitor potential impacts on energy supply, logistics, and macroeconomic conditions, and to evaluate contingency measures for implementation, if necessary.

As of the date of this report, the Company has not identified any material impacts on its operations, financial condition, or cash flows. However, the Company cannot predict the potential future impact of the conflict on its business and operation and continues to closely monitor the situation.

(f)“El Niño” Climate Phenomenon impacts

Management has been monitoring the evolution of weather conditions and their potential effects on the Company's operations and supply chain, including the supply of raw materials and other inputs, production, logistics, energy costs and availability, and the sale of concentrates and metal products, in connection with the potential effects of the El Niño climate phenomenon.

Potential adverse effects associated with this phenomenon may include above-average rainfall, flooding, landslides and logistics disruptions in Peru, as well as below-average rainfall, water scarcity, wildfires and heat exposure in Brazil, which could affect mining, smelting and logistics activities and result in increased operating costs. As of September 30, 2026, Management had not identified any material impacts arising from these conditions on the Company's operations, supply chain, financial position, or results of operations.

As a precautionary measure, and considering the possibility of adverse weather conditions affecting operations and logistics during the fourth quarter of 2026 and the first quarter of 2027, the Company has implemented actions to mitigate potential risks, including the acquisition of additional concentrate volumes to increase inventory levels and support operational continuity.

Any potential impact resulting from significant changes in the conditions currently observed, including those affecting energy markets, operating costs, the integrity of critical infrastructure, and the continuity of logistics and operational activities, will continue to be monitored and, when applicable, reflected in the financial statements.

(g)Agreement for the transfer of control of NEXA

On August 27, 2026, Votorantim S.A. (“Votorantim”), the Company's controlling shareholder, entered into a definitive agreement with Boliden AB (“Boliden”) for the sale of its controlling stake in the Company. Under the terms of the agreement, Votorantim will transfer all of its shares in the Company to Boliden through a share-for-share exchange, receiving 0.250 newly issued Boliden common shares for each Nexa common share.

Upon completion of the transaction, Boliden is expected to hold approximately 64.68% of the Company's total shares and voting rights and become the Company's controlling shareholder. Votorantim is expected to hold approximately 7% of Boliden's total shares and voting rights. As the transaction is being effected between shareholders, the Company will not receive any proceeds from the transaction.

The transaction is subject to the satisfaction of customary conditions precedent, including shareholder and regulatory approvals, and is expected to be completed during the first quarter of 2027.

In connection with the transaction, Boliden has agreed, subject to closing, to commence a voluntary cash tender offer to purchase all remaining outstanding shares of the Company held by minority shareholders. Following completion of the transaction, Boliden will also commence mandatory tender offers for the remaining outstanding shares of certain of the Company's subsidiaries listed in Peru, as required under applicable Peruvian regulations. The offer price in such mandatory tender offers will be determined in accordance with applicable regulations, and the offers are expected to commence within six months following closing.

Following completion, the Company is expected to remain a separate legal entity incorporated in Luxembourg, organized under the laws of Luxembourg, continue to be listed on the New York Stock Exchange (NYSE), and continue to report under the U.S. Securities Exchange Act of 1934.

As of September 30, 2026, the transaction had not been completed, Votorantim remained the Company's controlling shareholder, and no accounting impacts related to the transaction had been recognized in these interim condensed consolidated financial statements.

2Information by business segment

Segment performance is assessed based on Adjusted EBITDA, since net financial results, comprising financial income and expenses and other financial items, and income tax are managed at the corporate level and are not allocated to operating segments.

The Company defines Adjusted EBITDA as follows: net income (loss) for the year/period, adjusted by (i) share in the results of associates, depreciation and amortization, net financial results and income tax; (ii) addition of cash dividends received from associates; (iii) non-cash events and non-cash gains or losses that do not specifically reflect its operational performance for the specific period, such as: gain (loss) on sale of investments; impairment and impairment reversals; gain (loss) on sale of long-lived assets; write-offs of long-lived assets; remeasurement in estimates of asset retirement obligations; and other restoration obligations; and (iv) pre-operating and ramp-up expenses incurred during the commissioning and ramp-up phases of greenfield projects.

In addition, management may adjust the effect of certain types of transactions that in its judgments are (i) events that are non-recurring, unusual or infrequent, and (ii) other specific events that, by their nature and scope, do not reflect NEXA’s operational performance for the year/period.

The Adjusted EBITDA is derived from internal information prepared in accordance with the International Financial Reporting Standards (“IFRS Accounting Standards”) and based on accounting measurements and management reclassifications between income statement lines items, which are reconciled to the consolidated financial statements in the column “Adjustments”, as shown in the tables below. These adjustments include reclassifications of certain overhead costs and revenues from “Other income and expenses, net” to “Net Revenues, Cost of sales and/or Selling”, “General and administrative expenses”.

The Company uses customary market terms for intersegment sales. The Company’s corporate headquarters expenses are allocated to the operating segments to the extent they are included in the measures of performance used by the Chief operating decision maker (CODM).

The presentation of segment results and reconciliation to income before income tax in the consolidated income statement is as follows:

These condensed consolidated interim financial statements have been prepared on the basis of, and using the accounting policies, methods of computation and presentation consistent with those applied and disclosed in the Company’s audited consolidated financial statements for the year ended on December 31, 2025.

The Company has not early adopted any new standards, interpretations or amendments that have been issued but are not yet effective.

The preparation of these condensed consolidated interim financial statements in accordance with IAS 34 requires the use of certain critical accounting estimates and assumptions that affect the reported amounts of assets, liabilities, revenues, and expenses for the end period. Such estimates and assumptions mainly affect the carrying amounts of the Company’s goodwill, contractual obligations, non-current assets, indefinite-lived intangible assets, inventory, deferred income taxes, and the allowance for doubtful accounts. These critical accounting estimates and assumptions represent approximations that are uncertain and changes in those estimates and assumptions could materially impact on the Company’s condensed consolidated interim financial statements.

The critical judgments, estimates and assumptions in the application of accounting principles during the three and nine-month periods ended on September 30, 2026, are the same as those disclosed in the Company’s audited consolidated financial statements for the year ended on December 31, 2025.

These condensed consolidated interim financial statements for the three and nine-month periods ended on September 30, 2026, were approved on October 29, 2026, to be issued in accordance with a resolution of the Board of Directors.

(i) Gross billing increased in the three-month period ended September 30, 2026, compared to the corresponding period in 2025, primarily due to higher zinc, copper and silver prices, partially offset by lower sales volumes in both the mining and smelting segments. For the nine-month period ended September 30, 2026, gross billing also increased compared to the same period in 2025, mainly driven by higher zinc, copper and silver prices and higher zinc and lead sales volumes in the mining segment, partially offset by lower copper volumes, while sales volumes in the smelting segment remained relatively stable, as higher sales volumes in the first quarter offset the lower volumes sales in the second and third quarters.

(ii) Includes a reduction adjustment of USD 50,852 (September 30, 2025: USD 24,637) related to the annual remeasurement of silver streaming revenue, as described in Note 1.1(d).

(ii) Raw materials and consumables increased in the three-month period ended September 30, 2026, compared to the corresponding period in 2025, primarily due to higher unit costs of key raw materials, reflecting increased zinc and copper prices, which more than offset the lower sales volumes in both the mining and smelting segments. For the nine-month period ended September 30, 2026, raw materials and consumables also increased compared to the corresponding period in 2025, mainly due to higher unit costs of raw materials, particularly zinc concentrates used in the Company’s operations, reflecting increased zinc and copper prices.

As of September 30, 2026, the Company’s main uncertain tax positions were related to: (i) the interpretation of the application of the Cerro Lindo tax stability agreement; (ii) transfer pricing litigation related to transactions with related parties, (iii) the deductibility of certain costs and expenses and (iv) the interpretation regarding the exclusion of ICMS tax incentives from the calculation of IRPJ and CSLL.

The estimated amount of uncertain tax positions that have neither been paid nor recognized in the balance sheet amounted to USD 228,836 (USD 291,535, as of December 31, 2025). The decrease compared with December 31, 2025, was primarily attributable to lower uncertain tax positions already paid related to the Cerro Lindo stability agreement, partially offset by a new uncertain tax position arising from the tax authorities interpretation regarding the exclusion of ICMS tax incentives from the calculation of IRPJ and CSLL at Nexa Brasil. Further details are provided below.

Cerro Lindo stability agreement claims

The decrease in uncertain tax positions that have neither been paid nor recognized in the balance sheet compared with December 31, 2025, was primarily driven by the final administrative resolutions issued by SUNAT in May 2026 in respect of the 2016 and 2017 fiscal years. Consistent with its approach for the 2018 and 2019 fiscal years, SUNAT determined that taxable income should be allocated between the portion of the Company’s income subject to the tax stability regime (stabilized) and the portion not subject to such regime (non-stabilized). Accordingly, SUNAT reassessed the 2016 and 2017 fiscal years by applying an income tax rate of 20% to the stabilized income and the applicable general income tax rates of 28% and 29.5% to the non-stabilized income for 2016 and 2017, respectively.

As a result of these resolutions, the Company reassessed its uncertain tax positions that have neither been paid nor recognized in the balance sheet, including related interest and penalties, resulting in a reduction in the estimated exposures from USD 146,718 to USD 19,889.

On the other hand, SUNAT determined that the total assessed amount related to the 2014–2017 proceedings amounted to USD 225,544. Although the Company disagrees with certain portions of the assessments, it made and continues to make the required payments to continue challenging them before the ultimate competent judicial authority and to obtain a reduction in penalties and interest. During 2026, the Company paid USD 147,231, consisting of an upfront payment of USD 130,577 made during the second quarter and an additional payment of USD 16,654 made during the third quarter. The remaining balance is payable in monthly installments over a period of up to 69 months.

Of the amount paid, USD 51,568 related to tax treatments for which management concluded that it was not more likely than not that the ultimate competent judicial authority would accept the Company’s position and, accordingly, had previously recognized as a tax liability. This amount was therefore applied against the related tax liability. With respect to the remaining USD 95,663, management supported by the opinion of external legal counsel, concluded that it was more likely than not that the Company's tax treatment would be accepted by the ultimate competent judicial authority and that the amounts would be recovered. Consequently, no liability or expense was recognized for these amounts, which were recorded as “Tax claim payments” within “Other assets”.

As a result of the resolutions and related payments described above, the liabilities recognized for uncertain tax positions associated with the Cerro Lindo tax stability agreement and other matters, recorded within "Tax liabilities", decreased to USD 38,271 as of September 30, 2026, compared with USD 130,709 as of December 31, 2025. The decrease was mainly attributable to (i) the payment of USD 51,568 of previously recognized tax liabilities, (ii) the reversal of USD 2,649 of penalties, recognized within "Other income and expenses, net", (iii) the reversal of USD 31,688 of interest, recognized within "Financial income”, and (iv) the reversal of USD 7,260 of tax liabilities related to the Cerro Lindo tax stability agreement for the 2020 and 2021 fiscal years, following a revised profit segmentation favorable to the Company.

As of the date of these consolidated financial statements, SUNAT is auditing the Company’s income tax returns for the 2020 and 2021 fiscal years.

Tax claim payments recognized within “Other assets”

As of September 30, 2026, the tax amounts paid under claim or disputes in connection with tax assessments issued by SUNAT that remain subject to administrative and judicial proceedings totaled USD 234,911 (USD 125,670 as of December 31, 2025), mainly related to the Cerro Lindo stability agreement disputes, non-resident withholding tax assessments, and transfer pricing disputes. These amounts are recognized as “Tax claim payments” within “Other assets” and classified as non-current.

In addition, as of September 30, 2026, in connection with the Cerro Lindo proceedings, the Company had committed to future installment payments through 2032, comprising: (i) USD 1,647, recorded as "Tax liabilities" as the Company concluded that it is not more likely than not that the ultimate competent judicial authority will accept the Company's tax treatment; and (ii) USD 70,990, for which no liability was recognized because management concluded that it is more likely than not that the ultimate competent judicial authority will accept the Company's tax treatment. As the installments related to amounts not recognized as tax liabilities are paid, they will be recognized as “Tax claim payments” within “Other assets”.

The composition of the tax amounts paid under claim or disputes, and the outstanding installments are as follows:

The increase in tax claim payments was primarily attributable to payments related to the Cerro Lindo tax stability agreement disputes. Such payments are required to pursue the Company’s challenges and do not constitute an acknowledgment of the underlying tax liabilities, acceptance of SUNAT’s position, or settlement of the related disputes.

Based on management’s assessment, supported by external legal counsel, amounts related to tax treatments that are considered more likely than not to be accepted by the ultimate competent judicial authority are recognized as “Tax claim payments” within “Other assets” until the disputes are finally resolved. Depending on the final outcome, these amounts may be recovered in cash, offset against future tax obligations, or applied against tax liabilities recognized if management’s assessment changes.

Exclusion of ICMS tax incentives from the calculation of IRPJ and CSLL

The Company is involved in an administrative tax proceeding concerning the exclusion of certain ICMS tax incentives from the calculation basis of Brazilian corporate income taxes, comprising corporate income tax (IRPJ) and social contribution on net income (CSLL), by its subsidiary, Nexa BR, for the 2020 through 2022 tax years. As of September 30, 2026, the gross amount under dispute was USD 64,064 (BRL 331,907), including penalties and interest. The proceeding arises from a tax assessment issued by the Brazilian Federal Revenue Service (“RFB”), challenging Nexa BR's exclusion of certain ICMS tax incentives from the IRPJ and CSLL tax bases and alleging that such exclusion was improper.

The tax assessment was upheld at the first administrative level and is currently pending a final decision before the Administrative Council of Tax Appeals (“CARF”). In August 2026, the appeal was first heard by CARF and, despite a favorable opinion recommending the cancellation of the tax assessment, the proceeding remains pending following a request for review.

Based on the opinion of external legal counsel and management’s assessment of the facts and circumstances available as of September 30, 2026, the Company concluded that it is more likely than not that the tax treatment adopted by Nexa BR will ultimately prevail. Accordingly, no liability was recognized as of September 30, 2026.

Except for the movements described above, there were no other significant changes to the nature or status of the Company’s uncertain tax position compared with those disclosed in the annual consolidated financial statements for the year ended December 31, 2025, to which reference is made for further details.

(i) Under the Aripuanã offtake agreement, the selling price of copper concentrate is subject to a contractual price cap. When copper market prices exceed this cap, the Company receives less than it would based on prevailing market prices. This obligation is measured at fair value as a financial instrument liability, based on the volumes remaining to be delivered and long-term forward copper prices.

In the nine-month periods ended September 30, 2026 and 2025, this liability increased mainly due to increases in long-term forward copper prices, which widened the expected difference between market prices and the contractual price cap applicable to future deliveries (Changes in fair value). This increase was partially offset by deliveries made during the respective periods. As copper concentrate was delivered at the capped price, the portion of the liability associated with the delivered volumes was realized, reducing the financial instrument liability, with the corresponding effect recognized in revenue (Price cap realized).

(i) Finished products increased during the nine-month period ended September 30, 2026, mainly due to higher zinc inventories at Nexa Resources US (“Nexa US”), reflecting higher sales volumes expected in the following period, as well as higher concentrate inventories at Nexa Perú, primarily zinc, partly reflecting the build-up of strategic concentrate inventories as part of the Company’s preparedness measures for the 2026-27 “El Niño” event.

(ii) Semi-finished products increased during the nine-month period ended September 30, 2026, mainly due to higher calcine and zinc sheets volume at the Nexa CJM, driven by higher concentrate processing volumes.

(iii) Inventory provisions increased during the nine-month period ended September 30, 2026, mainly due to higher provisions for obsolete maintenance materials at Nexa BR, partially offset by the reversals of provisions for net realizable value adjustments at Nexa CJM due to higher refined zinc prices.

(i) This amount is mainly related to income tax payments made in connection with tax assessments arising from SUNAT’s interpretation of the Cerro Lindo Tax Stability Agreement for the 2014 through 2019 tax years and transfer pricing disputes involving transactions with related parties. These payments are required to preserve the Company’s right to continue challenging the assessments through the judicial process and may be recovered, together with applicable interest, if the Company ultimately prevails in the related proceedings. The payments were made in Peruvian soles and are therefore subject to foreign currency fluctuations against the U.S. dollar. For further information, see Notes 1.1 (b) and 8 (c).

(ii) Other recoverable taxes are composed primarily of tax credits related to ICMS (Tax on Circulation of Goods and Services), mainly generated from purchases. In addition, the balances include PIS (Social Integration Program) and COFINS (Contribution to Social Security Financing) tax credits, primarily arising from the acquisition of fixed assets.

(i) As of September 30, 2026, this balance was primarily composed of: (a) the remaining balance of an advance payment received by El Porvenir in December 2025; (b) advance payments received in 2026 by the subsidiaries Nexa CJM and Nexa BR; and (c) the outstanding balance of an advance payment received by Cerro Lindo in September 2026. Revenue associated with these advances will be recognized upon delivery of the related products, as the corresponding performance obligations are satisfied. These advances will be offset against revenue over a period of approximately three months, except for one advance payment that will be offset over approximately twelve months.

(ii) Other tax liabilities comprise various taxes arising from the Company’s operations, primarily Brazilian taxes related to routine operating activities, as well as other taxes duties and contributions, mining-related taxes and fees, mining rights, and value-added tax (VAT) payable in certain jurisdictions. The balance decreased from December 31, 2025, to September 30, 2026, mainly due to a reduction of USD 7,031 in ICMS payable at Nexa BR, resulting from the utilization of tax credits to settle installments related to the unfavorable court decision issued in 2025 and to partially settle the voluntary tax disclosure, as well as a reduction of USD 5,562 in VAT payable in Peru.

(i) In August 2022, Nexa Recursos Minerais S.A. acquired mineral rights from the bankruptcy estate of Mineração Areiense S.A. – MASA, with the purchase price including a deferred payment due four years after the fulfillment of the applicable contractual conditions. During September 2026, the due date of the deferred payment was extended to November 25, 2028. As a result of the extension, the Company remeasured the liability associated with the deferred consideration and recognized the corresponding adjustment to the carrying amount of the intangible asset related to the mineral rights.

(e)Guarantees and covenants

The Company has loans and financing subject to certain requirements at the consolidated level, including the obligation to maintain minimum global-scale corporate credit ratings of (i) BB+ from Fitch Ratings and (ii) Ba3 from Moody’s. No changes to contractual guarantees occurred during the nine-month period ended September 30, 2026. The minimum rating requirements described above apply only to the Company’s financing agreements with the Brazilian Development Bank (BNDES).

As of September 30, 2026, the Company was in compliance with these requirements, with corporate credit ratings of BBB- from Fitch and Ba2 from Moody’s. In August 2026, following the announcement of the proposed sale of the controlling shareholder’s interest in the Company, Fitch placed the Company’s ratings on Rating Watch Negative and indicated that any potential downgrade is expected to be no more than one notch. A one-notch downgrade by Fitch would not result in non-compliance with the minimum rating requirement. Moody’s outlook remains stable. Management continues to monitor its credit ratings and has not identified any non-compliance with these requirements.

(i) As of September 30, 2026, the credit risk-adjusted rate used for Peru ranged between 9.53% and 14.10% (December 31, 2025: 5.04% and 10.70%), and for Brazil between 4.58% and 7.52% (December 31, 2025: 7.42% and 12.17%).

(ii) The changes during the nine-month period ended September 30, 2026, mainly reflect the effects of additions and remeasurements, including: revisions to the expected timing of disbursements for decommissioning obligations at certain operations, based on updated execution schedules under the existing closure plans and revised asset retirement and environmental obligation studies; and changes in discount rates, as described above. As a result, asset retirement obligations for operational assets increased by USD 4,577 (during the nine-month period ended September 30, 2025: USD 2,573 increase), as shown in note 13. For non-operational assets, changes in asset retirement and environmental obligations resulted in a gain of USD 1,947 (nine-month period ended September 30, 2025: USD 9,052 loss), as detailed in note 6.

18Impairment of long-lived assets

At each reporting date, the Company assesses whether there are any indicators that the carrying amount of an asset or cash-generating unit (“CGU”) may not be recoverable, or that an impairment loss recognized in prior periods for assets other than goodwill may no longer exist or may have decreased. Goodwill is tested for impairment annually, or more frequently if there are indicators of impairment.

Impairment assessment

As of September 30, 2026, the Company performed its annual impairment test for the CGUs to which goodwill is allocated: the Mining Peru group of CGUs (comprising the Cerro Pasco and Cerro Lindo CGUs), the Cajamarquilla CGU, and the Juiz de Fora’s CGU. Recoverable amounts were determined based on fair value less costs of disposal (FVLCD) using assumptions and projections consistent with the Company’s strategic planning process. In addition, the Company assessed other CGUs for which impairment indicators were identified. The impairment losses recognized as a result of these assessments are presented below.

Três Maria System and Juiz de Fora CGUs

As a result of the impairment tests, the carrying amounts of the Juiz de Fora CGU and the Três Marias System CGU (comprising the Três Marias smelter and the Vazante mine) exceeded their recoverable amounts. Accordingly, impairment losses of USD 60,297 for Juiz de Fora and USD 58,033 for the Três Marias System, totaling USD 118,330, were recognized in “Impairment (loss) reversal of long-lived assets” in the income statement.

For the Juiz de Fora CGU, in accordance with IAS 36, the impairment loss was first allocated to the carrying amount of goodwill allocated to the CGU, resulting in its full impairment of USD 4,686, as disclosed in note 14. The remaining USD 55,611 was allocated to the other assets of the CGU on a pro rata basis, based on the carrying amount of each asset, as disclosed in note 13.

For the Três Marias System CGU, the impairment loss was allocated to the assets of the CGU on a pro rata basis, based on the carrying amount of each asset, as disclosed in note 13.

Cerro Pasco CGU and Cajamarquilla

No impairment was identified for the Mining Peru group of CGUs or for Cajamarquilla.

Impairment test summary

In summary, for the nine-month period ended September 30, 2026, Nexa recognized the following impairment loss/reversal:

Impairment (losses) reversals 2026 2025
Cerro Pasco CGU (i) - 108,005
Juiz de fora (i) (60,297) -
Três Marias System (i) (58,033) -
Others individual assets (4,816) (3,789)
Total (123,146) 104,216

(i) In 2025, the impairment reversal in Cerro Pasco CGU was driven mainly by the increase of the projected long-term metal prices, especially zinc. In 2026, the impairment loss in Juiz de Fora and Três Marias System mainly reflected changes in operational and market assumptions, including operating performance, higher costs and investments, lower TCs, lower zinc grades at Vazante, and the appreciation of the BRL against the USD, as these CGUs have the BRL as their functional currency.

In addition to the impairment losses recognized for the CGUs, the Company identified impairment of other assets in the amount of USD 4,816 in September 2026. As a result, total impairment losses of USD 123,146 were recognized under “Impairment (loss) reversal of long-lived assets” in the income statement for the nine-month period ended September 30, 2026.

(a)Key assumptions used in impairment test

The recoverable amounts for each CGU were determined using the FVLCD method, which resulted in values higher than those determined using the VIU method.

The Company identified long-term zinc prices, discount rates, the exchange rate considering Brazilian real (BRL) versus U.S. Dollar (USD), and LOM as key assumptions in determining the recoverable amounts, due to the material impact such assumptions may have on the recoverable value. The main assumptions are summarized below:

  2026 2025
Long-term zinc price (USD/t) 3,180 3,120
Discount rate (Peru) 7.75% 7.08%
Discount rate (Brazil) 8.28% 7.63%
Exchange rate (BRL x USD) 5.18 5.43
Brownfield projects - LOM (Years) From 2 to 23 From 3 to 25

(b)Sensitivity analysis – Tested CGUs and Goodwill

The Company estimated the amount by which the value assigned to the key assumptions must change for the recoverable amount of each tested CGU to be equal to its carrying amount (headroom equal to zero). For CGUs with positive headroom, the analysis indicates the deterioration in the assumption required to eliminate the headroom. For CGUs with impairment losses, the analysis indicates the improvement in the assumption required for the recoverable amount to equal the carrying amount.

(a)Projects evaluation

In relation to the Magistral Project, no changes have occurred in the circumstances described in the annual financial statements as of December 31, 2025. As of the date of this report, the deadline to fulfill the Accreditable Investment Commitment remains suspended, as does the potential application of the related penalty in the amount of USD 97,029.

(b)Environmental Guarantee for Dams

In relation to the guarantees for dams, there have been no changes to the regulatory framework since the annual financial statements as of December 31, 2025. The Company continues to await approval from the environmental authorities before proceeding with the remaining obligations.

(c)Instalments commitments

As of September 30, 2026, the Company had installment payment agreements with the Peruvian Tax Authority (SUNAT) related to tax assessments for the 2014–2017 fiscal years that remain subject to ongoing judicial proceedings. Participation in these installment agreements does not constitute acceptance of the tax authority’s position or settlement of the underlying disputes.

As of September 30, 2026, the remaining installment payment commitments relate exclusively to the 2014 and 2015 fiscal years and totaled USD 98,266, representing future cash outflows payable in accordance with the agreed installment schedules, with payments due through 2032. Of this amount, USD 1,647 has been recognized within "Tax liabilities". No liability has been recognized for the remaining USD 96,619, as management considers it more likely than not that the related tax positions will ultimately be sustained by the competent judicial authority. Installment payments related to these amounts will be recorded as "Tax claim payments" within "Other assets" when paid. For further details regarding the underlying tax matters and related accounting treatment, see note 8(c).

In addition, during August 2026, the Company made a payment of USD 16,654 related to the 2016 and 2017 fiscal years, as required by SUNAT to preserve the admissibility of its appeal before the Tax Court. Following this payment, no further installment payment commitments remain in respect of those fiscal years.

20Events after the reporting period
(a)New CJM Tax claim payments

On October 1, 2026, SUNAT determined an amount payable in connection with the CJM 2016 proceedings. The Company disagrees with such determination and continues to challenge it through judicial proceedings. Payments made in connection with these proceedings do not constitute an acknowledgment of the underlying tax obligation.

On October 14, 2026, SUNAT approved the payment installment arrangement requested by the Company for a total amount of USD 22,074, including the related interest. Under this arrangement, the Company made an upfront payment of USD 4,500, with the remaining balance payable in monthly installments over a period of up to 72 months. Accordingly, this event did not result in any adjustment to the amounts recognized in the interim financial statements as of September 30, 2026. Amounts paid subsequent to the reporting date were recognized as “Tax claim payments” within “Other assets” in October 2026.

(b)Dividend payments

Pollarix

On October 14, 2026, Pollarix paid the outstanding dividends approved during the third quarter of 2026, totaling USD 10,435 (BRL 53,610), of which USD 8,289 (BRL 42,582) was paid to non-controlling interests and USD 2,146 (BRL 11,028) to Nexa BR.

Nexa Peru

On October 26, 2026, Nexa Peru paid the outstanding dividends related to prior periods, totaling USD 49,327, of which USD 41,216 to Nexa CJM, USD 85 to NEXA and USD 8,026 was paid to non-controlling interests, net of taxes. The payments were made in accordance with the approved payment schedule.

(c)S&P Global Ratings credit rating downgrade

On October 27, 2026, S&P Global Ratings downgraded the long-term issuer credit rating of Nexa and the ratings of its senior unsecured notes from BBB- to BB+, with a Stable outlook, and affirmed its A-3 short-term issuer credit rating. According to S&P, the downgrade reflects its view that, while Nexa is expected to remain a strategically important subsidiary of its prospective parent company, Boliden AB, the relationship with its new parent is one category weaker than that previously attributed to Votorantim S.A.

Under the indenture governing the 2028 Notes, this downgrade constitutes a "Rating Decline", as defined therein. Accordingly, subject to the closing of the transaction with Boliden, the Company will be required to launch a change of control tender offer for the 2028 Notes at a price equal to 101% of their principal amount within 30 days following the change of control. At September 30, 2026, the principal amount of USS 111,018 was outstanding under the 2028 Notes. The Company will notify the trustee as required under the indenture.

Under the indentures governing the 2034 and 2037 Notes, a change of control tender offer would only be triggered if Fitch were to downgrade those notes, resulting in a Rating Decline as defined in the indentures.

The Company continues to evaluate alternatives regarding its outstanding indebtedness, including the 2028 Notes, in line with its ongoing liability management and gross debt reduction strategies.

This event does not affect the amounts recognized in these interim financial statements.
