On August 4, 2026, Johanna Nielsen informed NIKE, Inc. (the “Company”) of her intent to resign as Vice President, Chief Accounting Officer and Corporate Controller of the Company, effective as of September 4, 2026, to pursue another opportunity. Ms. Nielsen’s resignation is not the result of any disagreement with the Company relating to the Company’s operations, policies or practices.

As of September 4, 2026, David Denton, the Company’s newly appointed Executive Vice President and Chief Financial Officer, effective as of August 17, 2026, will also assume the role of Interim Corporate Controller and be designated as the Company’s principal accounting officer until the Company’s Board of Directors appoints a successor Corporate Controller. The Company filed a Current Report on Form 8-K with the Securities & Exchange Commission on June 23, 2026 (the “Prior Form 8-K”) to report Mr. Denton’s appointment as Executive Vice President and Chief Financial Officer, and entered into compensation arrangements in connection with that appointment as reported in the Prior Form 8-K. Mr. Denton’s compensation is not being adjusted in connection with his appointment as Interim Corporate Controller.
