Good morning,
As an important partner to National Storage Affiliates Trust (NSA), I
wanted to reach out directly to share an exciting update about the future of our Company. This morning, we announced that NSA has
entered into a definitive agreement to be acquired by Public Storage in an all-stock transaction that will bring together complementary
portfolios to create a strong and efficient self-storage leader with increased scale.
Over the past several years, we have meaningfully transformed NSA,
integrating our operating platform, streamlining our portfolio and strengthening our marketing, pricing and technology capabilities. Thanks
to that work, and by the support of our partners like you, we have established a strong foundation that has enabled us to better serve
our customers and partners. With our transformation behind us, we are confident that now is the right time to take this next step forward
with Public Storage.
Joining Public Storage will result in a stronger operating platform
with deeper reach across key markets, benefiting our customers and other stakeholders. Public Storage brings scale, resources and global
expertise and following this transaction, the combined company will be a preeminent owner and operator of self-storage facilities. Together,
we expect to have the opportunity to expand digital and AI-led customer experiences, bring the power of second-to-none self-storage to
more customers and share best practices with new colleagues. By joining our complementary portfolios, we will create a stronger operating
platform that is better positioned to serve our customers and communities with the local care and commitment that differentiates NSA.
Importantly, today’s announcement is just the first step. The
transaction is expected to close in the third quarter of 2026, subject to the approval of NSA equity holders and satisfaction of other
customary closing conditions. Until then, it remains business as usual and NSA and Public Storage will continue to operate as separate,
independent companies. That means that our agreements with you remain in place, your point of contact remains the same and there are no
changes to how we work together. And with respect to our relationship after close, Public Storage has shared with us that they intend
to maintain all existing joint ventures with NSA's existing partners.
Over the coming weeks, leaders from both NSA and Public Storage will
come together to design a thoughtful integration plan as we work to seamlessly bring our two companies together. Our partners play a key
role in our success and we will keep you informed as we work through the process and have updates to share.
