Mr. Kaplan undertakes to provide the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the foregoing range.

2. The shares are held by the Kaplan Wright Family Trust (the "Trust"). Mr. Kaplan is the trustee of the Trust. As such, Mr. Kaplan is deemed to beneficially own the securities held by the Trust.
