Insights

Internal promotion to General Counsel/Chief Compliance Officer signals legal leadership continuity with no disclosed governance disruption.

The filing reports that on December 5, 2025, Enviri Corporation appointed Samuel D. Romaninsky as Vice President, General Counsel and Chief Compliance Officer. He succeeds Russell C. Hochman, who now holds the roles of President and Chief Operating Officer and also signs the report in that capacity on December 9, 2025. Romaninsky has worked in the company’s Office of the General Counsel since September 2008 and previously led Global Litigation and Risk Management as Deputy General Counsel.

This change keeps senior legal and compliance leadership within experienced internal staff, which limits transition uncertainty. The company highlights his background in litigation at two global law firms and his long tenure with the organization, which indicates extensive familiarity with its risk and compliance profile. The filing does not describe any changes to compensation or to broader business strategy tied to this appointment.

The key item to watch is how the consolidated role of General Counsel and Chief Compliance Officer under Romaninsky interfaces with Hochman’s positions as President and Chief Operating Officer over time after December 2025. Future filings may provide detail on any updated charters, reporting lines, or compliance frameworks that reflect this leadership structure, especially if the company later discloses new risk management initiatives or legal matters.
