Filing Explained

On October 26, 2026, NWBO entered a $5,505,000 loan agreement for ongoing operations, with scheduled repayment terms; its $595,000 cash at June 30, 2026 equaled 7.6 days of second-quarter operating cash use, a historical comparison rather than a forecast of the loan’s operating runway.

Sources and calculations
  • Available liquidity against the last reported quarterly operating outflow, in days at that rate $595,000 / ($7,169,000 / 91) = 7.6 days

Original issue discount 10% Included in the loan agreement
Initial repayment period 8 months No repayments are due during this period
Amortization start June 26, 2027 Beginning of scheduled principal installments
Principal installments 14 equal monthly installments At 110% of the pro rata amount, plus accrued interest
Prepayment charge 10% Applies if the company elects to prepay
original issue discount financial
"includes an original issue discount of ten percent"
Original issue discount (OID) is the difference between a debt security’s face value and the lower price at which it is first sold, treated as additional interest that accrues over the life of the instrument. For investors it matters because OID raises the effective yield and changes taxable income and the holding’s cost basis over time — think of buying a $100 voucher for $90 and recognizing the $10 gain as earned interest as the voucher approaches maturity.
amortized financial
"will be amortized in 14 equal monthly installments"
Amortized means spreading a cost or a debt repayment into regular portions over a set period so each payment covers part of the principal and, if applicable, interest. For investors, knowing something is amortized shows how much of a company’s payments are scheduled over time, which affects cash flow, reported profits, and the remaining debt burden—similar to how a mortgage or installment plan breaks a large purchase into predictable monthly payments.
pro rata amount financial
"at 110% of the pro rata amount"
acceleration financial
"including for potential acceleration"
