Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

NextBoat Inc. (NXB) subsidiary Off The Hook Yacht Sales NC, LLC issued a subordinated note to BPC Management, LLC, which funded a $1.0 million initial advance for short-term working capital. The note allows a second advance of up to $1.2 million at the lender’s option by December 31, 2026, upon not less than three business days’ notice; Off The Hook may decline it. Aggregate principal availability is up to $2.2 million.

Each advance bears 15.0% simple interest per annum and a 2% origination fee, with principal, accrued interest and fee due 90 days after funding. Until the initial advance and related charges are repaid, 100% of net equity proceeds from seven specified pre-owned boat sales, after amounts owing on those boats to Red Oak Inventory Finance, LLC are paid, must go to BPC; the second advance is excluded. The note is subordinated to Off The Hook’s obligations to Red Oak and secured by pledged NextBoat shares; NextBoat guarantees Off The Hook’s obligations. In this related-party transaction, Jason Ruegg, NextBoat’s president, chairman and controlling stockholder, personally guarantees payment and performance, while his affiliate Ruegg Capital Group, Inc. pledged shares with at least $5.0 million in collateral value. A default could let the lender vote, foreclose on and sell the shares, potentially resulting in a change in control.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Subordinated Promissory Note financial
"issued a Subordinated Promissory Note"
A subordinated promissory note is a written promise to repay borrowed money that legally ranks behind other loans and creditors, so it gets paid only after higher-priority debts are satisfied. For investors, that lower repayment priority means greater risk of loss if the borrower runs into trouble, which is why these notes typically offer higher interest rates; think of it as standing farther back in line for repayment.
origination fee financial
"a 2% origination fee"
An origination fee is a one-time charge a lender or underwriter takes when creating a loan or credit facility, similar to a booking or service charge when arranging a deal. It matters to investors because it reduces the net amount the borrower receives, changes the effective yield or return on the loan or security, and affects comparisons between financing options—like comparing two items where one includes a hidden setup fee.
floorplan lender financial
"Off The Hook’s floorplan lender"
event of default financial
"upon an event of default"
An event of default is a specific breach of a loan or bond agreement—such as missed payments or breaking agreed rules—that gives lenders the legal right to act, for example by demanding immediate repayment, seizing collateral, or accelerating other obligations. For investors, it’s a red flag because it can sharply reduce a company’s ability to operate or raise money, like a car lender repossessing a vehicle after missed payments, and often leads to falling share or bond prices.

Subordinated Promissory Note

On October 13, 2026, Off The Hook Yacht Sales NC, LLC (“Off The Hook”), a wholly owned subsidiary of NextBoat Inc. (the “Company”), issued a Subordinated Promissory Note, dated as of October 9, 2026 (the “Note”), to BPC Management, LLC (the “Lender”), providing for advances in an aggregate principal amount of up to $2.2 million to fund short-term bridge financing for working capital. Under the Note, the Lender agreed to make an initial advance in the principal amount of $1.0 million (the “Initial Advance”) and may, at its option and upon not less than three business days’ notice, make a second advance of up to $1.2 million on or before December 31, 2026, which Off The Hook may decline. Amounts repaid under the Note may not be reborrowed.

Each advance under the Note bears simple interest at 15.0% per annum and matures, together with accrued interest and the related origination fee, 90 days after its funding date. Any extension requires the Lender’s written consent in its sole discretion. Upon an event of default, past-due amounts bear interest at the lesser of 20% per annum and the maximum rate permitted by law. Off The Hook may prepay any advance at any time without premium or penalty, other than the origination fee.

Off The Hook is required to pay a 2% origination fee with respect to each advance, which is fully earned on funding and payable at maturity. Until the Initial Advance, together with the related interest and origination fee, has been repaid in full, Off The Hook is required to pay to the Lender 100% of the net equity proceeds from the sale of seven specified pre-owned boats held in its inventory, after payment of all amounts owing on those boats to Red Oak Inventory Finance, LLC (the “Senior Lender”), Off The Hook’s floorplan lender. The second advance, if made, is not subject to this mandatory prepayment and is due in full at its maturity. The Note is unsecured as to the assets of Off The Hook and the Company, but is secured by the pledge of shares of the Company’s common stock described below, and is subordinated to Off The Hook’s obligations to the Senior Lender. The Note contains customary events of default, including payment defaults, failure to remit boat sale proceeds or deliver required reports, defaults under the related pledge agreement and bankruptcy events, upon which amounts outstanding under the Note may be accelerated.

In connection with the Note, the Company entered into a Guaranty Agreement, dated as of October 9, 2026 (the “Corporate Guaranty”), in favor of the Lender, pursuant to which the Company absolutely, unconditionally and irrevocably guarantees the payment of Off The Hook’s obligations under the Note.

The Company is disclosing the transaction as a related-party transaction because Jason Ruegg, the Company’s President, Chairman and controlling stockholder, entered into a Personal Guaranty and Stock Pledge Agreement, dated as of October 9, 2026 (the “Guaranty and Pledge Agreement”), in favor of the Lender, pursuant to which he absolutely, unconditionally and irrevocably guarantees the payment and performance of Off The Hook’s obligations under the Note. Ruegg Capital Group, Inc., a North Carolina business corporation an affiliate of Mr. Ruegg . Ruegg Capital, also entered into the Guaranty and Pledge Agreement and pledged certain of its shares of the Company’s common stock having an aggregate collateral value of not less than $5.0 million, which it is required to maintain while the Note is outstanding, as security for the obligations. If the collateral value of the pledged shares falls below $5.0 million, Ruegg Capital Group, Inc. is required to pledge additional shares, other securities acceptable to the Lender or cash within three business days after notice, and failure to do so constitutes an event of default. Upon an event of default, the Lender may exercise voting rights with respect to, and foreclose upon and sell, the pledged shares, which could result in a change in control of the Company. Mr. Ruegg did not receive any consideration for entering into the Guaranty and Pledge Agreement.

The foregoing descriptions of the Note, the Corporate Guaranty and the Guaranty and Pledge Agreement are summaries only and are qualified in their entirety by reference to the full text of such documents, which are filed as Exhibits 10.1, 10.2 and 10.3, respectively, to this Current Report on Form 8-K and incorporated herein by reference.

Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

The information set forth under Item 1.01 of this Current Report on Form 8-K is incorporated herein by reference. As described above, on October 13, 2026, Off The Hook entered into the Note, under which the Lender funded the Initial Advance in the principal amount of $1.0 million, and Off The Hook incurred a direct financial obligation in such amount, plus accrued interest and the origination fee, which the Company has guaranteed under the Corporate Guaranty. Off The Hook may incur up to an additional $1.2 million in principal if the Lender makes the second advance.
