Rhea-AI Filing Summary

The ODP Corporation reported that the Hart-Scott-Rodino antitrust waiting period for its pending merger with ACR Ocean Resources LLC’s affiliate expired at 11:59 p.m. ET on November 6, 2025. This regulatory milestone allows the transaction to proceed past U.S. antitrust review.

The merger would combine ODP with an affiliate of Atlas Holdings LLC, with ODP surviving as a wholly owned subsidiary. Closing still requires adoption of the Merger Agreement by holders of a majority of ODP’s outstanding common stock entitled to vote, along with other customary conditions.

ODP also highlighted standard forward‑looking risk factors, including potential litigation, business disruptions during the process, and the possibility of termination under certain circumstances, directing investors to the definitive proxy statement filed on October 27, 2025 for additional details.

Insights

HSR waiting period expired, voting and customary conditions remain.

The expiration of the HSR waiting period on November 6, 2025 removes a key U.S. antitrust hurdle for ODP’s merger with an affiliate of Atlas Holdings LLC. This step indicates regulators did not seek to block or extend review under HSR, permitting the parties to advance toward closing.

Completion still depends on shareholder approval by a majority of outstanding common shares and other customary closing conditions. The company cites risks typical for mergers, including potential litigation, business disruption during the pendency, and possible termination scenarios described in the proxy materials.

Investors can reference the definitive proxy filed on October 27, 2025 for terms and conditions. Actual closing timing and outcomes depend on the shareholder vote and satisfaction of remaining conditions.
