Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 20, 2025, PetMed Express, Inc. (the “Company”) received a notice (the “Notice”) from the Nasdaq Stock Market LLC (“Nasdaq”), which indicated that, as a result of the Company’s delay in filing its Annual Report on Form 10-K for its fiscal year ended March 31, 2025 (the “Annual Report”) and its Quarterly Report on Form 10-Q for the period ended June 30, 2025 (the “Quarterly Report”), the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (the “Listing Rule”), which requires Nasdaq-listed companies to timely file all required periodic financial reports with the U.S. Securities and Exchange Commission (the “SEC”). The Notice states that the Company has until September 1, 2025, which is 60 days from the date of the Nasdaq letter received on July 2, 2025, in connection with the delinquency of the Company’s filing of its form 10-K for the period ended March 31, 2025 (the “Initial Delinquent Filing”), to submit to Nasdaq a plan to regain compliance with the Listing Rule. If Nasdaq accepts the Company’s plan, it may grant the Company an exception of up to 180 calendar days from the due date of the Initial Delinquent Filing, or until December 29, 2025, to regain compliance.
