Profusa, Inc. (the “Registrant”) will
be unable to file its Quarterly Report on Form 10-Q (the “Form 10-Q”) for the fiscal quarter ended September 30, 2025, by
November 14, 2025. The Registrant cannot file its Form 10-Q within the prescribed period without undue hardship and expense because additional
time is needed to finalize the disclosures to be included in such report. The Registrant expects to file the Form 10-Q no later than the
fifth calendar day following the prescribed filing date.
