How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

The attached results release reports a Park-Ohio revolving credit facility of $405.0 million, maturing in July 2030. At September 30, 2026, calculated availability was $94.7 million, above the $50.625 million threshold, so the debt-service-ratio covenant did not apply. Below it, the company must meet a coverage ratio above 1.0; failing these requirements could affect future borrowing availability and rates.

Adjusted EPS financial
"Adjusted EPS outlook to $3.35 to $3.50 per diluted share"
Adjusted earnings per share (adjusted eps) is a measure of a company's profit per share that has been modified to exclude certain one-time or unusual items, such as costs from restructuring or asset sales. It provides a clearer picture of the company’s core performance by removing events that may distort the usual earnings. Investors use adjusted eps to better understand a company's ongoing profitability and compare it more accurately over time.
EBITDA, as defined financial
"EBITDA, as defined of 8.5-9.0% of Net Sales"
free cash flow financial
"defines as net cash provided by operating activities minus purchases of property, plant and equipment"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.
debt service coverage ratio financial
"our debt service coverage ratio must be greater than 1.0"
Debt service coverage ratio measures how many times a company's available cash flow can pay its scheduled debt payments (interest plus principal). Think of it like checking how many months of take-home pay it would take to cover your mortgage and loan bills; a higher number means a bigger cushion against missed payments. Investors use it to gauge credit risk, the likelihood of default, and whether a company can afford dividends or new borrowing.

“The global industrial economy, led by North America, continues to underpin accelerating business performance at our Company. Demand has been favorable to expectations throughout the year, and we are pleased to increase both our revenue and earnings outlook again for 2026. While strong demand from semiconductor, electrical infrastructure and aerospace and defense continue to show particular strength, we have seen broad based improvements in the industrial economy and in many of our key markets. As many of these end markets are supply constrained, we expect this strength to continue well into 2027.

“We also recognize the excellent execution by our teammates as we continue to see strengthening margins across the company due not only to additional volume but ongoing productivity improvements,” said Matthew V. Crawford, Chairman and Chief Executive Officer.

Third Quarter 2026 Segment Highlights
•Supply Technologies – Record revenue of $225.2 million, up 21% year-over-year, driven by growth in the semiconductor, AI data center, heavy-duty truck, powersports, and aerospace and defense end markets. The segment continues to expand customized supply-chain management programs, providing global sourcing, specialized production components, inventory management and value-added services to OEM customers. Operating income increased 23%, with operating margins of 9.5%, reflecting higher volumes, operating leverage and ongoing productivity initiatives, including automation. Proprietary fastener sales increased 12%, reflecting demand for engineered fastening technologies.

-more-

•Assembly Components – Revenue increased 7% to $103.6 million, driven by new programs and higher demand across automotive platforms. Operating margins improved to 5.4% from 4.8% a year ago. The segment designs and manufactures fluid-routing systems, including engineered hoses, tubing, molded rubber and plastic products and completed assemblies serving traditional, hybrid and electric vehicle applications. Productivity improvements and new product development remain priorities, while the underlying capabilities provide opportunities to serve additional industrial applications over time.

•Engineered Products – Record revenue increased 12% to $129.7 million, with operating income rising to $9.1 million from $3.4 million a year ago. Operating margin improved to 7.0% from 2.9%, reflecting growth in engineered capital equipment, aftermarket parts and services and better operating performance in forged and machined products. New equipment bookings totaled $53 million and equipment backlog reached $242 million at September 30, up 18% from year-end 2025. Global aftermarket capabilities, customized equipment applications used for thermal processing and power management, and productivity initiatives remain important earnings drivers.

•Record revenue of $1.3 billion, up 10% year-over-year.
•Strong year-over-year sales growth in all three business segments.
•Record year-to-date revenues in Supply Technologies and Engineered Products segments.
•Gross margin of 17.7%, an increase of 80 basis points compared to 16.9% in the 2025 period.
•GAAP EPS of $2.41 compared to $1.67 in the 2025 period, up 44%; Adjusted EPS of $2.61 compared to $2.06 in the prior year period, up 27%.

Full-Year 2026 Sales and Adjusted EPS Outlook Raised

Based on third-quarter performance and our current outlook for the fourth quarter, we are raising our full-year 2026 Sales and Adjusted EPS outlook, which was previously announced in our second quarter 2026 press release, as follows:

Previous
Updated
Net Sales$1.700 billion to $1.730 billion$1.750 billion to $1.770 billion, an increase of 9% to 11% over 2025
Adjusted EPS$3.10 to $3.30 per diluted share$3.35 to $3.50 per diluted share, an increase of 24% to 30% over 2025
EBITDA (as defined)8.5-9.0% of Net Sales8.5-9.0% of Net Sales
Free Cash Flow$20 million to $30 million$20 million to $30 million

Our raised outlook reflects revenue growth and continued margin expansion supported by continued strong demand in key industrial markets in Supply Technologies and Engineered Products, including the semiconductor, AI data center, electrical steel, aerospace and defense, oil and gas and other industrial markets, and increased operating efficiency across all three business segments.

As announced on May 6, 2026, the Company has engaged an investment banking firm to assist in a formal review of strategic alternatives for our Southwest Steel Processing (“SSP”) business, including a potential sale or other transaction. Our 2026 outlook includes the impact of SSP, which is expected to contribute approximately $15 million in revenue and a loss of approximately $0.46 per diluted share. Accordingly, the outcome of our strategic review process represents potential upside to our current outlook. In the three and nine months ended September 30, 2026, our share of the net loss attributable to the SSP business, which is included in our results from continuing operations, was approximately $0.13 and $0.35 per diluted share,
2

respectively. Our review of strategic alternatives is ongoing. There can be no assurance that this review will result in any transaction or particular outcome.

The Company does not provide reconciliations of forward-looking non-GAAP financial measures, such as Adjusted EPS, to the most comparable GAAP financial measures due to the inherent difficulty in forecasting certain items, including non-cash or infrequent charges, which are not available without unreasonable effort.

Long-Term Positioning

Our businesses continue to evolve toward a broader mix of end markets and higher-value products and services. We are expanding applications for our engineered technologies, growing aftermarket and service capabilities, and investing in automation, systems and manufacturing productivity. Together, these initiatives are intended to support revenue growth, margin expansion and earnings power over time.

The availability of borrowings under the revolving credit facility is based on (1) our calculated availability under the Credit Agreement and (2) if such calculated availability decreases below $50.625 million, our ability to meet a debt service ratio covenant generally based on our EBITDA, as defined compared to our consolidated debt charges for the most recent four-quarter period. If our calculated availability is less than $50.625 million, our debt service coverage ratio must be greater than 1.0. At September 30, 2026, our calculated availability was $94.7 million; therefore, the debt service ratio covenant did not apply. Failure to maintain calculated availability of at least $50.625 million and meet the debt service ratio covenant could materially impact the availability and interest rate of future borrowings. Our debt service coverage ratio could be materially impacted by negative economic trends, including inflation and supply chain disruptions. While we expect to remain in compliance throughout 2026, declines in sales volumes in the future, including due to the current macroeconomic conditions, could adversely impact our ability to remain in compliance with certain of these financial covenants.
