Item 1.01 Entry into a Material Definitive Agreement.
As previously disclosed, on June 14, 2026, Pluri
Inc. (the “Company”) entered into an advance subscription agreement with Chutzpah Holdings LP (the “Purchaser”),
a limited partnership beneficially owned by Mr. Alexandre Weinstein, a non-U.S. investor, the Company’s largest existing shareholder
and the chairman of the board of directors of the Company (the “Board”), pursuant to which the Purchaser paid the Company
$1,250,000 on June 16, 2026 as an advance payment to be credited against the purchase price payable by the Purchaser for securities to
be purchased in a future financing, subject to the approval of the Board.
On October 19, 2026, following approval by the
Board, the Company and the Purchaser entered into a Securities Purchase Agreement (the “Purchase Agreement”), pursuant to
which the Company agreed to issue and sell to the Purchaser (i) 833,334 common shares of the Company, par value $0.00001 per share (the
“Shares”), at a purchase price of $1.50 per Share and (ii) a common shares purchase warrant to purchase up to 833,334 common
shares of the Company (the “Warrant Shares”) at an exercise price of $1.65 per Warrant Share (the “Warrant”, and
together with the Shares and the Warrant Shares, the “Securities”). The $1,250,000 previously paid by the Purchaser will be
applied in full toward the aggregate purchase price of the Shares and the Warrant, and no additional subscription payment is due from
the Purchaser at the closing under the Purchase Agreement.
The Warrant will be exercisable beginning on the
six-month anniversary of its issue date and will expire on the fifth anniversary of such initial exercise date.
The foregoing descriptions of the Purchase Agreement
and the Warrant are qualified in their entirety by reference to the full text of the Form of Securities Purchase Agreement and the Form
of Common Warrant, which are filed as Exhibit 10.1 and Exhibit 4.1, respectively, to this Current Report on Form 8-K and incorporated
herein by reference.
This Current Report on Form 8-K does not constitute
an offer to sell or a solicitation of an offer to buy, nor does the sale of these securities in any state or jurisdiction in which such
offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction.
Item 3.02 Unregistered Sales of Equity Securities.
Pursuant to the Purchase Agreement described in
Item 1.01 above, which description is incorporated into this Item 3.02 by reference, the Securities were issued in reliance upon the exemption
from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), pursuant to Section 4(a)(2)
and Rule 903 of Regulation S promulgated thereunder. The sale of the Securities did not involve a public offering
and was made without general solicitation or general advertising. Accordingly, the Securities have not been registered under the Securities
Act or any state securities laws and such securities may not be offered or sold in the United States absent registration, or an exemption
from registration, under the Securities Act and any applicable state securities law.
