Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Polomar Health Services, Inc.'s Audit Committee concluded on November 1, 2026, that unaudited condensed consolidated financial statements for the three months ended March 31, 2026, and the three and six months ended June 30, 2026, should no longer be relied upon. The periods include accounting errors involving commissions, purchases, inventory, interest expense, revenue and equity classification; related earnings releases, investor presentations and other communications also should no longer be relied upon.

Management's preliminary, unaudited estimate is that correcting errors will increase net loss by approximately $421,000 across those periods: approximately $332,000 for the March quarter and approximately $89,000 for the three months ended June 30. The estimate reflects decreases in revenue and increases in cost of goods sold, operating expenses and interest expense, but excludes the Series A Convertible Preferred Stock classification correction. The estimate may change. The company expects to file amended quarterly reports as soon as practicable and expects to report one or more material weaknesses after reassessing its controls.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Estimated aggregate net-loss increase Approximately $421,000 Across the Non-Reliance Periods
Estimated net-loss increase Approximately $332,000 Three months ended March 31, 2026
Estimated net-loss increase Approximately $89,000 Three months ended June 30, 2026
Non-Reliance Periods financial
"collectively referred to as the “Non-Reliance Periods”"
mezzanine equity financial
"as equity as opposed to mezzanine equity"
Mezzanine equity is a layer of financing that sits between bank loans and full ownership, combining elements of borrowed money and equity. It often gives lenders higher potential returns in exchange for taking more risk, sometimes with the option to convert into ownership or receive extra payments; think of it as a middle seat that pays more because it’s less secure than front-row debt. Investors watch it because it affects a company’s debt risk, potential dilution of ownership, and expected returns.
disclosure controls and procedures regulatory
"reassessing its disclosure controls and procedures"
Policies, routines and internal checks a public company uses to identify, collect and verify information that must appear in its financial reports and public filings, and to make sure that material news is disclosed accurately and on time. Investors care because effective controls increase confidence that the company’s reported numbers and disclosures are reliable and reduce the risk of surprises, much like a building’s inspection and alarm system helps occupants trust the structure’s safety.
material weaknesses financial
"expects to report one or more material weaknesses"
Material weaknesses are significant flaws in a company’s systems for ensuring its financial reports are accurate and reliable. Like a broken lock on a safe, they increase the chance that financial statements contain big errors or omissions, which can mislead investors about performance and risk; discovering one often raises questions about management oversight, may lead to restated results, and can affect investor confidence and a company’s valuation.

Section 4 – Matters Related to Accountants and Financial Statements

Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.

On November 1, 2026, the Audit Committee of the Board of Directors of Polomar Health Services, Inc. (the “Company”), after discussion with management, concluded that the Company’s unaudited condensed consolidated financial statements for the following periods should no longer be relied upon:

●the three months ended March 31, 2026, included in the Company’s Quarterly Report on Form 10-Q filed with the U.S. Securities and Exchange Commission (the “SEC”) on June 1, 2026; and

●the three and six months ended June 30, 2026, included in the Company’s Quarterly Report on Form 10-Q filed with the SEC on August 14, 2026

These periods are collectively referred to as the “Non-Reliance Periods”. This conclusion was reached because of errors in the accounting for commission expense, purchases, inventory, interest expense, revenue, and misclassification of equity in the Non-Reliance Periods. Accordingly, investors should no longer rely on the financial statements for the Non-Reliance Periods, or on any earnings releases, investor presentations or other communications describing them.

In the course of preparing its financial statements for the quarter ended September 30, 2026, management identified unrecorded expenses, expenses improperly capitalized to inventory, revenue recorded in the incorrect period, and misclassification of the Company’s Series A Convertible Preferred Stock as equity as opposed to mezzanine equity.

Based on its analysis to date, management currently estimates that correcting these errors will increase its net loss by approximately $421,000 in the aggregate for the Non-Reliance Periods, of which approximately $332,000 relates to the three months ended March 31, 2026, and approximately $89,000 relates to the three months ended June 30, 2026, resulting from decreases in revenue and increases in cost of goods sold, operating expenses and interest expense. The correction of the classification of the Series A Convertible Preferred Stock is not reflected in this estimate. This estimate is preliminary and unaudited. It may change as management completes its review and its independent registered public accounting firms complete their review procedures.

The Company intends to restate its financial statements for the Non-Reliance Periods in amendments to the affected Quarterly Reports on Form 10-Q/A, which it expects to file as soon as practicable. Management is also reassessing its disclosure controls and procedures and its internal control over financial reporting and expects to report one or more material weaknesses.

The Audit Committee of the Board of Directors and the Company’s Interim Chief Executive Officer and Chief Financial Officer discussed the matters disclosed in this Item 4.02 with Green Growth CPAs, which reviewed the interim financial statements for the quarter ended March 31, 2026, and with Haskell & White LLP, which reviewed the interim financial statements for the quarter ended June 30, 2026.
