acquisition method of accounting financial
"accounted for by using the acquisition method of accounting"
An accounting method used when one company obtains control of another; the acquirer records the purchase by measuring the fair value of the consideration it gives up, identifying and measuring the acquiree’s identifiable assets and liabilities at their fair values, and recognizing either goodwill for excess purchase price or a gain if the fair value of net assets exceeds consideration. Measurement-period adjustments are allowed to revise provisional amounts as more information becomes available; the method applies only when control is obtained and replaces earlier approaches that combined owners’ interests without fair-value measurement.
revolving credit facility financial
"borrowings under an existing $1.5 billion revolving credit facility"
A revolving credit facility is a type of loan that a business can borrow from whenever it needs money, up to a set limit. It’s like having a credit card for companies—allowing them to borrow, pay back, and borrow again as needed, providing flexibility for managing cash flow or funding short-term expenses.
measurement period financial
"during the measurement period (up to one year from the acquisition date)"
goodwill financial
"The excess of the Purchase Price over the estimated amounts of net assets"
Goodwill is the extra value a buyer pays for a company above the measurable worth of its buildings, inventory and other tangible items, reflecting things like brand reputation, customer loyalty and expected future profits. Think of paying more for a café because of its famous name and regulars rather than its furniture alone. It matters to investors because changes in goodwill — for example a write-down if expected benefits don’t materialize — can reduce reported earnings and signal that past acquisitions aren’t delivering as hoped.

("Domo") entered into a definitive agreement (the "Purchase Agreement") for the purchase by Progress of substantially all of the assets and employees of Domo, excluding Domo’s net operating loss carryforwards, and assumption of certain liabilities of Domo. The pro forma purchase price adjustments are preliminary, subject to further adjustments as additional information becomes available along with the completion of the purchase price allocation and as additional analyses are performed, and have been made solely for the purpose of providing the pro forma financial information presented below. The unaudited pro forma condensed combined statements of operations for the six months ended May 31, 2026 and for the year ended November 30, 2025 give effect to the Acquisition as though it had been consummated on December 1, 2024, including the related financing. The unaudited pro forma condensed combined balance sheet as of May 31, 2026 gives effect to the Acquisition as though it had been consummated on May 31, 2026, including the related financing. The Company funded the Acquisition with $390.0 million in borrowings under an existing $1.5 billion revolving credit facility and cash on hand, resulting in total purchase consideration of $403.2 million.

The Acquisition was accounted for using the acquisition method of accounting in accordance with Accounting Standard Codification 805 - Business Combinations, and the Company's cost to acquire Domo has been allocated to the assets acquired and liabilities assumed based upon a respective preliminary estimate of fair values as of the date of the Acquisition using assumptions that the Company's management believes are reasonable given the information currently available. The process for estimating the fair values of identifiable intangible assets and certain tangible assets requires the use of significant estimates and assumptions, including estimating future cash flows and determining appropriate discount rates. The excess of the Purchase Price over the estimated amounts of net assets as of the effective date of the Acquisition was allocated to goodwill in accordance with the accounting guidance. The preliminary fair value estimates of the net assets acquired are based upon preliminary calculations and valuations, and those estimates and assumptions are subject to change as we obtain additional information for those estimates during the measurement period (up to one year from the acquisition date).

Based on the Company's preliminary review of Domo's summary of significant accounting policies disclosed in Domo's Annual Report on Form 10-K filed with the SEC on April 16, 2026, the nature and amount of any adjustments to conform its accounting policies to those of the Company are not expected to be significant.

The unaudited pro forma condensed combined statements of operations do not reflect the cost of any integration activities or benefits from the Acquisition and synergies that may be derived from any integration activities, both of which may have a material effect on Progress' consolidated results of operations in periods following the completion of the Acquisition.

Note 2: Domo Reclassification Adjustments

During the preparation of the unaudited pro forma condensed combined balance sheets and statements of operations, management performed a preliminary analysis of Domo's financial information to identify differences in Domo's financial statement presentation as compared to the financial statement presentation of the Company. Based on a preliminary analysis performed, certain reclassification adjustments have been made to conform Domo's historical financial statement presentation to the Company's financial statement presentation. The Company is currently performing a full and detailed review of Domo's financial statement presentation and accounting policies, which could result in amounts set forth in the Company's future financial statements being materially different from the amounts set forth in the unaudited pro forma condensed combined financial information presented herein.

Note 3: Transaction Summary

The Acquisition was completed for a Purchase Price of $400.0 million in cash, subject to certain customary adjustments as further described in the Purchase Agreement, and was funded through $390.0 million in borrowings under an existing $1.5 billion revolving credit facility and cash on hand, resulting in total purchase consideration of $403.2 million.

The Purchase Price has been allocated to Domo's acquired tangible assets, identifiable intangible assets, and assumed liabilities based on their estimated fair values assuming the Acquisition was consummated on May 31, 2026. The excess of the Purchase Price over the acquired tangible assets, identifiable intangible assets, and assumed liabilities will be recorded as goodwill. The Company's estimates and assumptions in determining the estimated fair values of certain assets and liabilities are preliminary and are subject to change.

The total estimated Purchase Price was allocated as follows:

(in thousands)
Cash and cash equivalents$24,509
Accounts receivable, net44,002
Unbilled receivables, current portion3,561
Other current assets8,101

Other non-current liabilities(1,953)
Total identifiable net assets234,393
Goodwill168,794
Fair value of total consideration transferred$403,187

The preliminary fair value of the intangible assets has been estimated using the income approach in which the after-tax cash flows are discounted to present value. The cash flows are based on estimates used to price the Acquisition, and the discount rates applied were benchmarked with reference to the implied rate of return from the transaction model as well as the weighted average cost of capital.
10

Acquisition-related transaction costs (e.g., advisory, legal, valuation, and other professional fees) and related charges are not included as a component of consideration transferred, but are required to be expensed as incurred. Acquisition-related transaction costs of $10.7 million are reflected in the unaudited pro forma condensed combined financial information as described in tickmark 4(b) Note 4: Transaction Accounting and Financing Adjustments.

Note 4: Transaction Accounting and Financing Adjustments

4(a)
The following adjustments reflect certain assets not acquired and liabilities not assumed as further described in the Purchase Agreement:
•Cash and cash equivalents reduction of $0.6 million
•Other current assets reduction of $1.4 million
•Property and equipment, net reduction of $0.1 million
•Intangible assets, net reduction of $0.1 million
•Right-of-use lease assets reduction of $0.7 million
•Other assets reduction of $1.2 million
•Accounts payable reduction of $1.0 million
•Accrued compensation and related payroll taxes reduction of $12.0 million
•Warranty liability of $7.4 million
•Current portion of long-term debt reduction of $137.2 million
•Operating lease liabilities, current portion reduction of $0.4 million
•Other accrued liabilities reduction of $8.7 million
•Operating lease liabilities, non-current portion reduction of $0.3 million
•Other non-current liabilities reduction of $1.0 million
4(b)Reflects the cash payment of $403.2 million to Seller upon closing of the Acquisition and $10.7 million of transaction costs paid by the Company in connection with the Acquisition that were not included in the Purchase Price.
4(c)Reflects proceeds of $390.0 million received from the existing $1.5 billion revolving credit facility to partially fund the Acquisition. Additional interest expense incurred was calculated using an interest rate of 5.5%, which is the borrowing rate on the date of the transaction. The interest rate on the revolving credit facility adjusts monthly based on a reference to the Secured Overnight Financing Rate (SOFR). If the interest rates were to increase or decrease by 0.125% from the rate assumed, pro forma interest expense would change by approximately $0.2 million for the six months ended May 31, 2026 and $0.5 million for the year ended November 30, 2025.
4(d)Reflects the elimination of the incremental costs of obtaining a contract with a customer (deferred contract costs) of $17.6 million and $25.6 million from other current assets and other assets, respectively, as these costs are reflected in the value of the customer relationship intangible asset.
4(e)Reflects the elimination of the capitalized internal-use software development costs of $25.9 million from property and equipment, net, as these costs are reflected in the value of the purchased technology intangible asset.
4(f)Reflects the adjustment of Domo's historical identifiable intangible assets to their preliminary estimated fair values, including $188.0 million of customer relationships, $103.0 million of purchased technology, and $11.5 million of trade names, all of which were definite-lived intangible assets. For the purpose of determining pro forma amortization expense to be recorded in the unaudited pro forma condensed combined statements of operations, the total estimated fair value of each identifiable intangible asset was assumed to have a useful life of five years. For the six months ended July 31, 2026, Domo recognized $0.3 million of amortization expense in general and administrative. For the year ended January 31, 2026, Domo recognized $0.6 million of amortization expense in general and administrative.
4(g)Reflects the elimination of Domo's historical goodwill balance.
4(h)Reflects estimated goodwill resulting from the preliminary allocation of the Acquisition Purchase Price to the estimated fair value of the identifiable assets acquired and liabilities assumed in the Acquisition. See Note 3: Transaction Summary above for further information.
4(i)Reflects $35.1 million of deferred tax asset related to the deferred revenue balance of Domo, which was calculated using an estimated statutory income tax rate of 24.0% (federal and state). Progress is not responsible for the tax when this revenue is recognized by the Company.
4(j)Reflects the elimination of Domo's historical equity.
4(k)Reflects the reversal of Domo's historical deferred contract costs amortization expense related to the elimination in Note 4(d) above.
4(l)Reflects the reversal of Domo's historical capitalized internal-use software development costs amortization expense related to the elimination in Note 4(e) above.
4(m)
The following adjustments reflect reductions in expenses related to assets not acquired and liabilities not assumed in connection with the Acquisition, see Note 4(a):
•Elimination of activity related to subsidiaries not acquired.
•Elimination of remeasurement of warranty liability as the related indebtedness was not assumed.
•Elimination of interest expense as the related indebtedness was not assumed.
4(n)Reflects the adjustment to income tax expense on the pro forma adjustments for the six months ended May 31, 2026 and the year ended November 30, 2025, using an estimated statutory income tax rate of 24.0% (federal and state) for both periods.
