Rhea-AI Filing Summary

Skydance Corporation (PSKY) distributed 470,746,773 warrants on October 13, 2026, as a dividend to eligible holders of its Class B common stock. Each warrant initially entitles its holder to purchase one Class B share for $12.00 per share, subject to customary anti-dilution adjustments. The distribution was one warrant for each eligible Class B share held on October 5, 2026. The Paramount Global 401(k) Plan did not receive warrants because ERISA restrictions prohibit it from holding them; instead, its Stock Fund will receive additional Class B shares under a conversion formula approved by State Street Global Advisors Trust Company. Warner Bros. Discovery, Inc. became Skydance’s wholly owned subsidiary when the merger closed on October 6, 2026.

The Plan blackout began October 5, 2026, at 4:00 p.m. New York City time and is expected to end during the week of October 18, 2026. During the blackout, Plan participants cannot direct or diversify investments into or out of the Stock Fund or obtain a loan, withdrawal, or distribution for account portions invested there. Directors and executive officers also face specified trading prohibitions involving Skydance securities during the Plan blackout.

Warrant Distribution financial
"the “Warrant Distribution” was made with respect to shares"
anti-dilution adjustments financial
"subject to customary anti-dilution adjustments"
Anti-dilution adjustments are changes made to the ownership stakes or value of an investment to protect investors from having their shares become less valuable if the company issues new shares at a lower price. Imagine buying a piece of a pie, and then the pie is cut into more slices without increasing in size—these adjustments help ensure your slice still retains its worth. They matter to investors because they help preserve the value of their investment when the company’s share price drops.
blackout period regulatory
"due to a “blackout period” that is also impacting"
A blackout period is a temporary window when company insiders, employees or certain plan participants are barred from buying or selling the company’s stock, usually around earnings releases or other material events. It matters to investors because it reduces the risk of unfair trading based on secret information and can affect share liquidity and timing—think of it as a “no trading” zone set to keep the market fair and orderly.
Regulation BTR regulatory
"Rule 104 of Regulation BTR as promulgated by the SEC"
pecuniary interest regulatory

EXPLANATORY NOTE

Following the completion of the merger on October 6, 2026, of Warner Bros. Discovery, Inc. (“WBD”) with a wholly owned subsidiary of Skydance Corporation, a Delaware corporation (the “Company”), with WBD surviving as a wholly owned subsidiary of the Company (the “Merger”), the Company distributed on October 13, 2026 (the “Issue Date”) warrants (the “Warrants”) to purchase shares of the Company’s Class B Common Stock, par value $0.001 per share (the “Class B Common Stock”), as a dividend (the “Warrant Distribution”). The Warrant Distribution was made with respect to shares of Class B Common Stock held by stockholders, other than each of Lawrence J. Ellison, David F. Ellison, Gerald J. Cardinale, The Lawrence J. Ellison Revocable Trust, u/a/d 1/22/88, as amended, and RedBird Capital Partners Fund IV (Master), L.P. or any of their respective affiliates, successors or transferees, including any of the Company’s wholly owned subsidiaries that own Class B Common Stock, as well as the Paramount Global 401(k) Plan (the “401(k) Plan”) and the Paramount Global Master Trust, as of the record date of October 5, 2026 (the “Record Date”), at a ratio of one Warrant per share of Class B Common Stock.

Although the 401(k) Plan offers investment in shares of Class B Common Stock through its Company Class B Common Stock Fund (the “Fund”), it did not receive Warrants in the Warrant Distribution because restrictions under the Employee Retirement Income Security Act of 1974, as amended, prohibit the 401(k) Plan from holding the Warrants. In lieu of the Warrants, with respect to the shares of Class B Common Stock held by the Fund as of the Record Date, the 401(k) Plan will receive a number of additional shares of Class B Common Stock (rounded down to the nearest whole share) determined pursuant to a conversion formula approved by State Street Global Advisors Trust Company, as the independent fiduciary of the Fund.

The Warrants were issued pursuant to a warrant agreement, dated October 13, 2026 (the “Warrant Agreement”), between the Company and Equiniti Trust Company, LLC, as warrant agent. On the Issue Date, the Company issued 470,746,773 Warrants pursuant to the Warrant Distribution, initially entitling the holders thereof to purchase an aggregate of 470,746,773 shares of Class B Common Stock, in each case, at an initial exercise price of $12.00 per share and subject to customary anti-dilution adjustments as set forth in the Warrant Agreement.

The Warrants, and the shares of Class B Common Stock issuable upon the exercise of such Warrants, have been registered under the Securities Act of 1933, as amended, pursuant to the Company’s registration statement on Form S-3 (File No. 333-297906), which was originally filed with the Securities and Exchange Commission (the “SEC”) on July 31, 2026 and the related prospectus supplement filed on October 5, 2026. This Current Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy any securities, including, without limitation, the Warrants or the shares of Class B Common Stock issuable upon exercise of the Warrants.

Item 5.04 Temporary Suspension of Trading Under Registrant’s Employee Benefit Plans.

On October 15, 2026, in accordance with Section 306 of the Sarbanes-Oxley Act of 2002 and Rule 104 of Regulation BTR as promulgated by the SEC, the Company sent a notice (the “Notice”) to its directors and executive officers informing them of a blackout period for the Fund in connection with the closing of the Merger. The Notice provides information on certain trading prohibitions to which directors and executive officers of the Company are subject during the blackout period.

The 401(k) Plan’s blackout period is with respect to Class B Common Stock and is occurring so that the 401(k) Plan receives the correct number of additional shares of Class B Common Stock in the Fund in lieu of the Warrant Distribution. During the 401(k) Plan’s blackout period, participants and beneficiaries in the 401(k) Plan are unable to: (1) direct or diversify the assets held in their account into or out of the Fund; and (2) obtain a loan, withdrawal or distribution from the 401(k) Plan with respect to any portion of the participant’s account invested in the Fund.

The Merger closed on October 6, 2026. The blackout period began on October 5, 2026 at 4:00 p.m., New York City time, and is expected to end during the week of October 18, 2026.

During the 401(k) Plan’s blackout period and for a period of two years after the end date thereof, a security holder or other interested person may obtain, without charge, information regarding the actual end date of the blackout period from the General Counsel of the Company by mail at 1515 Broadway, New York, New York 10036, or by telephone at (212) 258-6000.

Re: Notice Regarding Blackout Period and Regulation BTR Trading Restrictions

In accordance with Section 306 of the Sarbanes-Oxley Act of 2002 (the “Act”) and Rule 104 of Regulation BTR as promulgated by the Securities and Exchange Commission, Skydance Corporation (the “Company” or “SKYD”) is notifying you of current restrictions on your ability to engage in certain activities regarding SKYD equity securities, namely SKYD’s Class B Common Stock, $0.001 par value (“Class B Common Stock”). These restrictions are occurring in connection with the closing of the transactions contemplated by the Agreement and Plan of Merger, dated as of February 27, 2026, among Company, Warner Bros. Discovery, Inc. and the other parties thereto (collectively, the “Transaction”).

Such restrictions are due to a “blackout period” that is also impacting the SKYD Class B Common Stock Fund (the “Stock Fund”) in the Paramount Global 401(k) Plan (the “Plan”). Plan participants received a separate blackout notice from the Plan regarding their Plan investment in the Stock Fund. These restrictions, which are mandated by the Act, apply to your investments in the Class B Common Stock or other SKYD securities held outside the Plan. The purpose of this notice is to inform you that by reason of, and throughout, the Plan’s blackout period, you are prohibited from directly or indirectly purchasing, exercising, selling or otherwise transferring Class B Common Stock or other equity or derivative securities with respect to Class B Common Stock or other SKYD securities, or exercising warrants or stock options with respect to Class B Common Stock or other SKYD securities if those securities were acquired in connection with your service or employment as a director or executive officer of SKYD. Transactions covered by this trading prohibition include those involving your direct ownership, as well as any transaction in which you may have a pecuniary interest (e.g., transactions by members of your immediate family who share your household, as well as by certain entities in which you have financial involvement).

The blackout period with respect to Class B Common Stock is occurring so that, after the effective time of the Transaction, the Plan receives the correct number of additional shares of Class B Common Stock in the Plan’s Stock Fund, in lieu of the warrant dividend being issued to certain other shareholders of Class B Common Stock.

During the Plan’s blackout period, participants and beneficiaries in the Plan are unable to: (1) direct or diversify the assets held in their account into or out of the Stock Fund; and (2) obtain a loan, withdrawal or distribution from the Plan with respect to any portion of the participant’s account invested in the Stock Fund.

The Transaction closed on October 6, 2026 .The blackout period began on October 5, 2026 at 4 p.m. New York City time and is expected to end during the week of October 18, 2026.

Although the Company typically must provide you with 15 calendar days advance notice of any blackout period under Regulation BTR, that requirement does not apply in this case because the Company was unable to provide advance notice of the blackout period due to events that were unforeseeable to, or circumstances that were beyond the reasonable control of, the Company. A copy of that written determination is attached.

The blackout period described herein is separate from, and in addition to, any other trading restrictions that may be applicable to you, such as the restrictions on trading under the SKYD Insider Trading Policy or its successor (and associated regularly scheduled blackout periods) that restrict or will restrict your ability to trade in Class B Common Stock.

If you have any questions about the blackout period, including the actual end date of the blackout period, you may contact the General Counsel of Skydance Corporation by mail at 1515 Broadway, New York, New York 10036, or by telephone at (212) 258-6000.

Although certain transactions are exempt from this trading prohibition (such as bona fide gifts, transfers by will or laws of descent and distribution, and sales of stock not acquired in connection with service or employment as a director or executive officer), those exemptions are limited. If you hold both covered securities and non-covered securities, any sale or other transfer of securities by you during the blackout period, if it occurs, will be treated as a transaction involving covered securities, unless you can identify the source of the sold securities and demonstrate that you use the same identification for all related purposes (such as tax reporting and disclosure requirements). Given the applicable rules and the short time period involved, we recommend that you avoid any change in your beneficial ownership of SKYD equity and derivative securities during the blackout period. The rules are complex and criminal and civil penalties may be imposed upon directors and executive officers who violate the rules.

Reference is made to the Paramount Global 401(k) Plan (the “Plan”). The “blackout period” with respect to the Plan relates to the closing of transactions contemplated by the Agreement and Plan of Merger, dated as of February 27, 2026, among Skydance Corporation (f/k/a Paramount Skydance Corporation, the “Company”), Warner Bros. Discovery, Inc. and certain other parties thereto (the “Transaction”). In accordance with Section 306 of the Sarbanes-Oxley Act of 2002, the Company has determined that, due to events that were unforeseeable to it, or circumstances that were beyond its reasonable control, the Company was not able to provide advance notice of the foregoing restriction with respect to the Plan.
