Phillips 66 reported very strong Q2 2026 results. Revenues and other income were $52,044 million, up from $33,522 million a year earlier. Net income attributable to Phillips 66 rose to $3,847 million (basic EPS $9.59) from $877 million (basic EPS $2.15), led by the Refining segment, which generated $3,062 million of income before income taxes. For the first six months, net income attributable to Phillips 66 was $4,054 million versus $1,364 million in 2025.
Operating cash flow for the first half increased to $4,995 million from $1,032 million, funding capital expenditures and investments of $1,308 million and common dividends of $1,017 million. Cash and cash equivalents reached $4,099 million at June 30, 2026, compared with $1,116 million at year-end 2025. The company continued to integrate the WRB Refining LP acquisition with total consideration of $3,437 million and finalized fair values for the $2,224 million Coastal Bend midstream acquisition.
A major risk item is the Propel Fuels trade‑secret case in California. A final judgment of $833 million has led to accrued liabilities of $928 million, including post‑judgment interest. Phillips 66 is appealing and intends to vigorously defend its position, while acknowledging potential additional loss that could materially affect its financial position.
Phillips 66 reported net income attributable to Phillips 66 of $207 million for the quarter ended March 31, 2026, compared with $487 million a year earlier. Revenue rose to $33.0 billion from $31.7 billion, but results were pressured by large derivative losses and higher costs.
Earnings per diluted share were $0.51, down from $1.18. The company recorded a $2.65 billion net loss from commodity derivative activity and used $2.26 billion of cash in operating activities, driven mainly by higher inventories, receivables and about $3 billion of cash collateral on derivatives.
To support liquidity amid rising commodity prices, Phillips 66 had net debt borrowings of $7.7 billion, ending the quarter with $5.2 billion of cash and $0.8 billion of unused committed credit capacity. It paid $509 million in dividends and repurchased $269 million of stock, while capital spending totaled $582 million, largely in Midstream and Refining. The company also carried an $887 million accrual related to the Propel Fuels litigation judgment, which remains under appeal.
Phillips 66 reported third‑quarter 2025 net income attributable to the company of $133 million ($0.32 diluted EPS) on total revenues and other income of $34.979 billion. For the first nine months, net income attributable to the company was $1.497 billion ($3.66 diluted EPS).
Results included $951 million of impairments in the quarter, primarily a $948 million noncash impairment of the equity investment in WRB after agreeing to acquire the remaining 50% interest, which closed on October 1, 2025 for $1.3 billion cash. The Los Angeles Refinery wind‑down drove accelerated depreciation of $265 million in Q3 ($800 million year‑to‑date), an asset retirement obligation of $288 million, and a $69 million environmental accrual.
Portfolio actions remained active: Phillips 66 acquired Coastal Bend NGL assets for $2.2 billion, sold its 49% stake in Coop Mineraloel for $1.2 billion (about $1.0 billion gain), and DCP Midstream sold a 25% interest in Gulf Coast Express for $853 million (about $68 million gain). The company issued $2.0 billion of junior subordinated notes, upsized its receivables securitization to $1.25 billion, and had $897 million of commercial paper outstanding. Shares outstanding were 402,921,135 as of September 30, 2025.
