Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Pitanium Ltd (PTNM) said Nasdaq delisted its Class A ordinary shares effective October 11, 2026. Nasdaq filed Form 25 on October 1, 2026; withdrawal of the shares’ Section 12(b) registration is expected 90 days after that filing, unless the SEC determines otherwise.

On September 28, 2026, the board approved a proposed Form 15 filing. Pitanium intends to file Form 15, subject to applicable eligibility requirements, to terminate any applicable Section 12(g) registration and suspend Section 15(d) reporting obligations. Upon filing, its remaining Exchange Act reporting obligations, including Form 20-F and Form 6-K reports, are expected to be suspended immediately if the requirements are met. Any Section 12(g) termination is expected to become effective 90 days after the Form 15 filing, unless the SEC determines otherwise.

After reporting obligations are suspended, Pitanium may no longer be required to provide periodic information to the SEC, which may reduce publicly available information. The delisting may adversely affect share liquidity; neither the delisting nor proposed Form 15 filing will by itself cancel outstanding Class A shares or alter their ownership rights.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Form 25 regulatory
"Nasdaq filed a Notification of Removal from Listing and/or Registration on Form 25"
A Form 25 is an official filing with the U.S. Securities and Exchange Commission used to remove a company's stock or other security from a national exchange list. Investors should care because delisting often means less visibility, lower trading volume and wider price swings—similar to a product moving from a major supermarket to a small local market, which can make buying, selling and valuing the security more difficult.
Section 12(b) regulatory
"withdraw their registration under Section 12(b)"
Section 12(b) of the U.S. Securities Exchange Act requires securities listed on a national stock exchange to be registered with the U.S. Securities and Exchange Commission (SEC) and to follow regular public reporting and disclosure rules. For investors, a 12(b) listing generally means more routine financial updates, regulatory oversight and easier buying and selling—like a storefront that must display its inventory and prices, making it simpler to inspect and trade the product.
Form 15 regulatory
"Certification and Notice of Termination of Registration on Form 15"
A Form 15 is a short filing a public company uses with the U.S. Securities and Exchange Commission to stop or pause its routine public reporting requirements when it meets certain legal thresholds (such as a low number of public shareholders) or other qualifying conditions. Investors should care because filing one typically means less public financial information and lower trading liquidity—similar to a shop taking down its public notice board, making it harder to track performance and buy or sell shares.
Section 12(g) regulatory
"terminate any applicable registration under Section 12(g)"
Section 12(g) is a rule that requires companies to register with the government and share their financial details when they have a certain number of shareholders or assets. It matters because it makes these companies more transparent, helping investors make informed decisions and keeping the markets fair.
Section 15(d) regulatory
"suspend its reporting obligations under Section 15(d)"
Section 15(d) is a U.S. securities law rule that can require a company to keep filing regular public financial reports with regulators after it sells stock in certain offerings, even if it otherwise would stop reporting. Think of it like a store that must continue posting its receipts so buyers can check its health; for investors, it preserves ongoing disclosure and helps them track a company’s finances and risks that might affect the stock.

INFORMATION CONTAINED IN THIS REPORT ON FORM 6-K

On July 7, 2026, The Nasdaq Stock Market LLC (“Nasdaq”) notified PITANIUM LIMITED (the “Company”) of its determination to delist the Company’s Class A ordinary shares from Nasdaq (the “Delisting Determination”). Subsequently, on October 1, 2026, Nasdaq filed a Notification of Removal from Listing and/or Registration on Form 25 (the “Form 25”) with the Securities and Exchange Commission (the “SEC”) to remove the Company’s Class A ordinary shares from listing on Nasdaq and withdraw their registration under Section 12(b) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The delisting became effective on October 11, 2026, and the withdrawal of registration under Section 12(b) is expected to become effective 90 days after the filing of the Form 25, unless the SEC determines otherwise.

On September 28, the board of directors of the Company (the “Board”) approved the Company’s proposed filing of a Certification and Notice of Termination of Registration on Form 15 (the “Form 15”) with the SEC, after considering the Company’s circumstances, including its delisting from Nasdaq and the costs and administrative burdens associated with continued SEC reporting.

The Company intends to file the Form 15 with the SEC, subject to the satisfaction of applicable eligibility requirements, to terminate any applicable registration under Section 12(g) of the Exchange Act and suspend its reporting obligations under Section 15(d) of the Exchange Act, as applicable. Upon the filing of the Form 15, the Company’s remaining reporting obligations under the Exchange Act, including its obligations to file annual reports on Form 20-F and furnish reports on Form 6-K, are expected to be suspended immediately, provided that the applicable requirements for such suspension are satisfied. Any termination of registration under Section 12(g), if applicable, is expected to become effective 90 days after the filing of the Form 15, unless the SEC determines otherwise.

Following the suspension of its SEC reporting obligations, the Company may no longer be required to provide periodic financial and other information to the SEC, which may result in reduced publicly available information concerning the Company. The delisting of the Company’s Class A ordinary shares from Nasdaq may also adversely affect the liquidity of such shares. The delisting and the proposed filing of Form 15 will not, by themselves, result in the cancellation of the Company’s outstanding Class A ordinary shares or alter the ownership rights associated with such shares.
