Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
Initial base salary $235,000 Employment agreement
Non-qualified stock options 150,000 options Hiring grant; vesting quarterly over four years
Restricted stock units 50,000 units Hiring grant; vesting quarterly over four years
Expected start date November 16, 2026 Chief Accounting Officer
Equity vesting period Four years Quarterly increments beginning three months after her start date
Severance Three months of base salary If employment is terminated without cause
non-qualified stock options financial
"grant of 150,000 non-qualified stock options"
Non-qualified stock options are a type of employee benefit that gives individuals the right to buy company shares at a set price, usually lower than the market value, within a certain period. Unlike other options that may have special tax advantages, these options are taxed as income when exercised, which can affect how much money the employee or investor ultimately gains. They are important because they can influence company compensation strategies and impact the financial outcomes for employees and investors.
restricted stock units financial
"grant of 50,000 restricted stock units"
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
target annual incentive award opportunities financial
"eligible for target annual incentive award opportunities"
severance financial
"entitled to severance equal to three months of base salary"
Severance is the payment and benefits an employer provides to an employee when their job ends, acting like a short-term financial safety net or final paycheck plus extras such as healthcare continuation or stock vesting. Investors care because severance obligations are real costs and potential liabilities that can reduce cash, affect reported profits, and signal how a company handles leadership changes or downsizing, which can influence future performance and shareholder value.
