Rhea-AI Filing Summary

Quantum BioPharma Ltd. (QNTM) filed a supplement correcting the special resolution for a proposed consolidation of its class A multiple voting shares and Class B Subordinate Voting Shares, subject to shareholder approval at the meeting scheduled for November 10, 2026, at 1:00 p.m. Eastern time. Fractions of one-half share or less would be rounded down to the nearest whole share; fractions greater than one-half share would be rounded up.

If cancellations of Class B Subordinate Voting Shares would cause holders of multiple voting shares to exceed 70% of aggregate voting power, Quantum says it intends to implement a measure capping their voting power at 70%.

Filing Explained

The supplement leaves previously submitted proxies valid unless properly revoked or changed; the company will not distribute an amended proxy, and shareholders can change instructions using the procedures in the circular and applicable voting form.

class A multiple voting shares technical
"consolidation of the Company’s class A multiple voting shares"
Class A multiple voting shares are a type of stock that carries several votes per share, giving holders disproportionately more control over corporate decisions than holders of regular shares. Think of them as having extra voting tickets at a meeting: a small group can steer board appointments and strategy. For investors, this matters because voting power affects governance, takeover likelihood and can influence share value, liquidity and minority shareholder protections.
Class B Subordinate Voting Shares technical
"consolidation of the Company’s ... Class B Subordinate Voting Shares"
Class B subordinate voting shares are a type of common stock that carry fewer or weaker voting rights than a company's primary share class, meaning holders have less influence over corporate decisions. For investors this matters because these shares often trade at different prices, can affect control of the company, and may offer similar entitlement to dividends despite reduced governance power—like holding a regular concert ticket while someone else has the VIP pass.
fractional share technical
"treatment of fractional shares resulting from the consolidation"
A fractional share is a portion of a single stock that is worth less than one full share, like owning a slice of a pizza instead of the whole pie. It lets investors buy and hold part of expensive stocks or spread small amounts of money across many companies, which helps with diversification and regular investing; dividends and price changes affect fractional shares proportionally, though some rights and trading rules can vary by provider.
aggregate voting power regulatory
"more than 70% of the aggregate voting power of the Company"

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How does QNTM's proposed share consolidation handle fractional shares?

Under the corrected resolution, fractions equal to or less than one-half share would be rounded down to the nearest whole share, while fractions greater than one-half share would be rounded up.

When would QNTM cap the voting power of multiple voting share holders?

Quantum says it will implement a measure if Class B Subordinate Voting Shares are purchased for cancellation or otherwise cancelled such that multiple voting share holders would exceed 70% of aggregate voting power. The measure would cap their voting power at 70%.

Are previously submitted QNTM proxies still valid after the supplement?

Yes. Previously submitted proxies remain valid and will be voted according to their instructions unless properly revoked or changed. Quantum will not distribute an amended proxy form; shareholders seeking changes are directed to follow the procedures in the circular and applicable proxy or voting instruction form.

Quantum BioPharma Ltd. Announces Filing of Supplement to Management Information Circular Correcting Fractional Share Treatment Under Proposed Share Consolidation and Clarifies MVS Voting Power Threshold

TORONTO, Nov. 05, 2026 (GLOBE NEWSWIRE) -- Quantum BioPharma Ltd. (NASDAQ: QNTM) (FRA: 0K91) (“Quantum BioPharma” or the “Company”), a biopharmaceutical company dedicated to building a portfolio of innovative assets and biotech solutions for the treatment of challenging neurodegenerative and metabolic disorders and alcohol misuse disorders with drug candidates in different stages of development, today announced that it has filed a supplement (the “Supplement”) to its management information circular dated September 28, 2026 (the “Circular”) in connection with the annual general and special meeting of shareholders of the Company scheduled for November 10, 2026 at 1:00 p.m. (Eastern time) (the “Meeting”).

The Supplement corrects and restates the special resolution to be considered at the Meeting authorizing a consolidation of the Company’s class A multiple voting shares (the “MVS”) and class B subordinate voting shares (the “Class B Subordinate Voting Shares”). The correction clarifies the treatment of fractional shares resulting from the consolidation. If the consolidation would otherwise result in a fractional MVS or Class B Subordinate Voting Share, any fraction equal to or less than one-half of a share will be rounded down to the nearest whole share, and any fraction greater than one-half of a share will be rounded up to the nearest whole share.

The Company also wishes to clarify that, in the event any Class B Subordinate Voting Shares are purchased for cancellation or otherwise cancelled such that the holders of MVS would thereby hold more than 70% of the aggregate voting power of the Company, the Company will implement a measure to ensure that, notwithstanding such holders’ aggregate voting power exceeds 70%, their voting power will be capped at 70%.

Every vote is important. The Company encourages all shareholders to carefully review the Circular, as supplemented by the Supplement, and the other meeting materials and to submit their voting instructions before the proxy cut-off specified in the Circular and the applicable form of proxy or voting instruction form. The Supplement, Circular and other meeting materials are available under the Company’s profile on SEDAR+ at www.sedarplus.ca and on EDGAR at www.sec.gov/edgar.

The Company will not distribute an amended form of proxy in connection with the Supplement. The existing form of proxy for the Meeting confers discretionary authority on the persons named in the proxy with respect to amendments or variations to the matters identified in the notice of meeting and other matters that may properly come before the Meeting or any adjournment or postponement thereof. Accordingly, proxies previously submitted will remain valid and will be voted in accordance with the instructions contained in them unless properly revoked or changed.

Shareholders who wish to revoke or change previously submitted voting instructions should follow the procedures described in the Circular and the applicable form of proxy or voting instruction form. Beneficial shareholders should contact the broker, investment dealer, bank, trust company, custodian, nominee or other intermediary through which they hold their shares for instructions.
