Rhea-AI Filing Summary

RedCloud Holdings plc (RCT) appealed Nasdaq’s delisting determination on October 14, 2026, after Nasdaq found it had not regained compliance with the $1.00 minimum bid price requirement. RedCloud had an initial 180-calendar-day period, through October 12, 2026, to regain compliance. Nasdaq’s rule treats a bid-price deficiency as continuing when it lasts 30 consecutive business days. Nasdaq scheduled delisting for October 22 unless RedCloud appealed by October 20, and found it ineligible for a second 180-day period because it lacked the stockholders’ equity required for initial listing standards.

The appeal request for an oral hearing stayed suspension of trading or delisting pending the Hearings Panel’s decision, and RedCloud’s ordinary shares continue to trade normally on the Nasdaq Capital Market. RedCloud plans to submit a written compliance plan that includes a commitment to effect a reverse stock split. At an October 30, 2026 general meeting, it will seek shareholder approval for a share consolidation; if approved, the consolidation is expected to take effect on or about November 13, 2026. Depending on the hearing’s timing, it may already be effective.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

The substantive text of this RedCloud Form 6-K is incorporated by reference into its active Form F-3 shelf registration statement, but the attached press release, Exhibit 99.1, is expressly excluded from that incorporation.

Minimum bid price requirement $1.00 per share Nasdaq Capital Market continued-listing requirement
Initial compliance period 180 calendar days Period to regain compliance, through October 12, 2026
Appeal deadline October 20, 2026 Deadline Nasdaq set for requesting an appeal
General meeting October 30, 2026 Shareholders will be asked to approve a share consolidation
Expected share consolidation effective date On or about November 13, 2026 Conditional on shareholder approval
Minimum Bid Price Requirement regulatory
"failed to comply with the $1.00 minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Staff Delisting Determination regulatory
"received a Staff Delisting Determination"
A staff delisting determination is a formal finding by exchange or regulatory staff that a listed security no longer meets the rules required to stay listed, similar to an official notice that a rental property no longer qualifies for occupancy. It matters to investors because it often precedes removal from the exchange, which can sharply reduce a stock’s visibility, trading liquidity and value, and may trigger urgent choices like selling, appealing the decision or seeking alternative markets.
initial listing standards regulatory
"stockholders’ equity required to meet the initial listing standards"
share consolidation financial
"seek shareholder approval to effect a share consolidation"
Share consolidation is a process where a company reduces the total number of its shares by combining multiple existing shares into a smaller number of higher-value shares. This can make each share more expensive and potentially improve the company’s image. For investors, it often means their ownership remains the same, but the value of each share increases, which can influence how the stock is perceived and traded.

Other Events

There is no immediate impact on the listing of the ordinary shares of RedCloud Holdings plc (the “Company”) as a result of the matters discussed in this Form 6-K, and the Company’s ordinary shares continue to trade in the normal manner on the Nasdaq Capital Market under the symbol “RCT”.

As previously disclosed, the Company received written notice from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it failed to comply with the $1.00 minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”) for continued listing on the Nasdaq Capital Market. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company was initially provided with 180 calendar days, or until October 12, 2026, to regain compliance with the Minimum Bid Price Requirement.

On October 13, 2026, the Company received a determination letter (the “Determination Letter”) from Nasdaq that the Company has not regained compliance with the Minimum Bid Price Requirement and is not eligible for a second 180-day period because the Company lacks the stockholders’ equity required to meet the initial listing standards.

As a result, Nasdaq determined that the Company’s securities would be scheduled for delisting from the Nasdaq Capital Market, effective October 22, 2026, unless the Company timely requests an appeal to a Nasdaq Hearings Panel (the “Panel”) on or before October 20, 2026. On October 14, 2026, the Company appealed the Determination Letter by filing a request for an oral hearing before the Panel. This request has stayed the suspension of trading or delisting of the Company’s ordinary shares, which will continue to trade in the normal manner pending the hearing and decision of the Panel. The Company will submit to the Panel a plan to regain compliance with the Minimum Bid Price Requirement.

There can be no assurance that the Company’s appeal of the Determination Letter will be successful or that the Company will be successful in maintaining its listing of its securities on the Nasdaq Capital Market.

On October 14, 2026, the Company issued a press release disclosing the Determination Letter from Nasdaq. A copy of the press release is furnished as Exhibit 99.1 to this Report on Form 6-K.

RedCloud Receives Expected Nasdaq Staff Delisting Determination and Files Appeal to Preserve Listing Pending Panel Hearing

As a result of the appeal, there is no immediate impact on the listing of RedCloud ordinary shares, which continue to trade in the normal manner on the Nasdaq Capital Market under the symbol “RCT”.

LONDON, October 14, 2026 (GLOBE NEWSWIRE) -- RedCloud Holdings plc (Nasdaq: RCT) (“RedCloud” or the “Company”), which is building the AI prediction infrastructure for global FMCG trade, today announced that on October 13, 2026, it received a Staff Delisting Determination (the “Staff Determination”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”), notifying the Company that Nasdaq has initiated the process of delisting the Company’s ordinary shares from the Nasdaq Capital Market as a result of the Company’s non-compliance with Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Rule”), which requires primary securities listed on the Nasdaq Capital Market to maintain a minimum bid price of at least $1.00 per share. Nasdaq Listing Rule 5810(c)(3)(A) provides that a failure to meet the minimum bid price requirement exists if a deficiency under the Minimum Bid Price Rule continues for a period of consecutive 30 business days. The Company is not eligible for a second 180-day compliance period because it lacks the stockholders’ equity required to meet the initial listing standards.

The Company has appealed the Staff Determination by filing a request for an oral hearing before the Nasdaq Hearings Panel (the “Hearings Panel”). This request has stayed the suspension of trading or delisting of the Company’s securities pending the hearing and the Hearing Panel’s decision. In the meantime, the Company’s securities will continue to trade in the normal manner on the Nasdaq Capital Market under the symbol “RCT”.

The Company will submit to the Hearings Panel a written plan of compliance, including a commitment to effect a reverse stock split. As previously announced on October 6, 2026, the Company’s Board of Directors has convened a General Meeting scheduled for October 30, 2026 (the “General Meeting”). At the General Meeting, the Company will seek shareholder approval to effect a share consolidation. If approved by shareholders, the share consolidation is expected to be effective on or about November 13, 2026. Depending on the timing of the hearing before the Hearings Panel, the share consolidation may already be effective.
