On September 15, 2026, Ryman Hospitality Properties, Inc. (the “Company”) (EIN 73-0664379) declared a cash dividend of $1.20 per common share, to be paid on October 15, 2026, to stockholders of record as of the close of business on September 30, 2026. Also on September 15, 2026, one of the Company’s subsidiaries, RHP Hotel Properties, LP (“Hotel Properties”) (EIN 46-1000882), declared that holders of partnership units (“OP Units”) in Hotel Properties will receive a corresponding cash distribution of $1.20 per OP Unit to be paid on October 15, 2026, to holders of record as of the close of business on September 30, 2026. Each of the foregoing dividends is being treated as a dividend described under 29 CFR § 4043.31(a) with respect to the Company’s frozen defined benefit pension plan, the Retirement Plan for Employees of Ryman Hospitality Properties, Inc. (EIN/PN 73-0664379/001) (the “Plan”). The recipients of the dividends described in this Form 8-K filing are not members of the Plan’s controlled group.

 

The Company has previously paid cash dividends in fiscal year 2026 in the following amounts: $1.20 per common share on January 15, 2026, to stockholders of record as of December 31, 2025; $1.20 per common share on April 15, 2026, to stockholders of record as of March 31, 2026; and $1.20 per common share on July 15, 2026, to stockholders of record as of June 30, 2026.
