As of the record date for the Annual Meeting, there were 63,109,272 shares of the Company’s common stock outstanding and entitled to vote on all matters presented to the Company’s stockholders at the Annual Meeting. Holders of 59,147,731 shares of the Company’s common stock were present in person or represented by proxy at the Annual Meeting.
