Regulation S regulatory
"issued in reliance on Regulation S under the Securities Act"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
share subscription agreements financial
"entered into six separate share subscription agreements"
A share subscription agreement is a contract where an investor agrees to buy newly issued shares directly from a company under specified terms, such as the number of shares, the price, and any conditions for completing the purchase. For investors, it matters because it brings new cash into the business and changes who owns what percentage of the company—similar to reserving extra seats at a table, it can dilute existing ownership, alter control, and signal the company’s financing needs and future growth prospects.
issued and outstanding financial
"ordinary shares ... issued and outstanding"
Issued and outstanding refers to two related counts of a company's stock: "issued" is the total number of shares the company has created and ever sold, while "outstanding" is the number of those shares currently held by outside investors (issued shares minus any the company holds in its treasury). Investors use outstanding shares to calculate ownership percentages, voting power, earnings per share and market capitalization — think of issued shares as all slices baked and outstanding as the slices actually on the table for people to eat.
Share Consolidation technical
"effected a share consolidation ... (the “Share Consolidation”)"
Share consolidation is a process where a company reduces the total number of its shares by combining multiple existing shares into a smaller number of higher-value shares. This can make each share more expensive and potentially improve the company’s image. For investors, it often means their ownership remains the same, but the value of each share increases, which can influence how the stock is perceived and traded.
