On September 19, 2025, the Board of Directors (the “Board”) of the Company received notice from Brett T. Agee of his resignation from the Board, effective September 19, 2025. Mr. Agee’s resignation is not the result of any disagreement with the Company relating to its operations, policies or practices or with the Board or management. The Board thanks Mr. Agee for his substantial contributions over the years and wishes him success in his future endeavors. The Company is undertaking a review of Board succession planning and will be making a determination on the future structure of the Board over the next 90 days.
