As previously disclosed, on December 31, 2025, RenovoRx, Inc. (the “Company”) received a written notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company was not in compliance with Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”), as the closing bid price for the Company’s common stock, par value $0.0001 per share (the “Common Stock”), had been below $1.00 per share for the preceding 30 consecutive business days.

 

On August 20, 2026, the Company received written confirmation from Nasdaq notifying the Company that for the ten consecutive business days from August 6, 2026 through August 19, 2026, the closing bid price of the Common Stock had been $1.00 per share or greater. Accordingly, the Company has regained compliance with the Minimum Bid Price Requirement and Nasdaq considers the matter closed.
