Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 21, 2026, the compensation
committee of the board of directors (the “Board”) of Richtech Robotics Inc. (the “Company”) approved
the payment to each of the Chief Executive Officer, the Chief Financial Officer and the Chief Operating Officer of the Company of a healthcare
cash stipend of $750 per bi-weekly paycheck, or an aggregate of approximately $19,500 annually.
Item 8.01. Other Events.
Effective as of August
21, 2026, the Board authorized the Company to repurchase up to $12 million of shares of the Company’s Class B common stock,
par value $0.0001 per share, on or before August 21, 2027 (the “Stock Repurchase
Program”).
On August 21, 2026, the Company
issued a press release announcing the Stock Repurchase Program, a copy of which is attached hereto as Exhibit 99.1 and is incorporated
herein by reference.

Program
LAS VEGAS, August 25, 2026 (GLOBE NEWSWIRE) —
Richtech Robotics Inc. (Nasdaq: RR) (“Richtech Robotics” or “the Company”), a Nevada-based provider of AI-driven
service robots, announces that its board of directors has approved a stock repurchase program to purchase up to $12 million of the Company’s
Class B common stock, pursuant to a Rule 10b5-1 trading plan under the Securities Exchange Act of 1934, as amended, subject to terms and
conditions of the plan and market conditions. The stock repurchase program does not obligate the Company to repurchase any specific number
