Insights

Safe Bulkers adds a secondary Athens listing to expand its investor base.

Safe Bulkers has listed all 101,826,580 common shares on Euronext Athens while maintaining its primary listing on the NYSE. This is a secondary trading venue, not a new share issuance, so it does not by itself change share count or capital structure.

The company states that the Athens listing on the Main Market of the Regulated Securities Market is intended to broaden and diversify its shareholder base and increase visibility in European maritime and financial circles. Actual impact will depend on whether local investors adopt the stock and whether trading liquidity develops on Euronext Athens.

The company highlights risks in forward-looking statements, including the possibility of not developing a liquid trading market on Euronext Athens and other factors referenced in its SEC filings. Future disclosures may show how trading volumes split between the NYSE and Euronext Athens and whether the dual listing supports its strategic goals.

Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.

"This Report on Form 6-K shall be incorporated by reference into our registration statement on Form F-3"
A registration statement on Form F-3 is a streamlined filing used by eligible foreign companies to register securities for sale in the U.S., often as a “shelf” that lets them offer shares quickly when market conditions are right. For investors it matters because it signals that the company can raise capital on short notice—potentially increasing liquidity but also the risk of share dilution if new stock is issued—similar to a company keeping a pre-approved credit line ready to use.

FAQ

What did Safe Bulkers (SB) announce regarding its stock listings?

Safe Bulkers announced that all 101,826,580 issued common shares have commenced trading on Euronext Athens under ticker “SB”. The stock will continue to be primarily listed on the New York Stock Exchange, so this creates an additional trading venue rather than replacing the NYSE listing.

How many Safe Bulkers common shares are trading on Euronext Athens?

Euronext Athens now lists all 101,826,580 issued Safe Bulkers common shares. These are dematerialized, registered voting shares with a par value of $0.001 each. The same common equity continues to trade on the New York Stock Exchange under the “SB” symbol.

Are Safe Bulkers’ preferred shares listed on Euronext Athens?

No. Only Safe Bulkers’ common stock trades on Euronext Athens. The company’s series C and series D preferred shares remain listed and trading exclusively on the New York Stock Exchange under the symbols “SB.PR.C” and “SB.PR.D” and are not listed on Euronext Athens.

Why is Safe Bulkers listing its common stock on Euronext Athens?

Safe Bulkers aims to broaden and diversify its shareholder base by listing on Euronext Athens. The company expects better access to institutional and retail investors with maritime exposure and greater visibility within the European maritime, banking and institutional investment community centered in Athens.

Does the Euronext Athens listing involve a new share offering by Safe Bulkers?

The company describes the action as listing its issued common shares on Euronext Athens, not issuing new shares. It references the 101,826,580 existing dematerialized, registered voting common shares, indicating this is a secondary listing intended to expand trading venues, not a capital-raising transaction.

What risks does Safe Bulkers highlight about its Euronext Athens listing?

Safe Bulkers notes that forward-looking statements include risks, such as the potential inability to develop a liquid trading market for its common shares on Euronext Athens. It also refers to other risk factors described in the company’s filings with the U.S. Securities and Exchange Commission.
