Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. Rhea-AI Filing Summary

Scage Future announced that its ADS ratio change will take effect October 27, 2026, moving from one ADS for one ordinary share to one ADS for 15 ordinary shares. On that date, every 15 existing ADSs will be exchanged automatically for one new ADS by Citibank, N.A., the depositary bank; holders need not take action. Fractional new ADS entitlements will be aggregated and sold, with net cash proceeds after fees, taxes and expenses distributed to applicable holders.

The change will not affect Scage Future’s underlying ordinary shares, and no ordinary shares will be issued or cancelled. The ADS trading price is expected to increase proportionally, although the company gives no assurance it will be equal to or greater than 15 times the pre-change price.

Current ADS ratio 1 ADS to 1 ordinary share Before the ADS Ratio Change
New ADS ratio 1 ADS to 15 ordinary shares Effective October 27, 2026
ADS exchange ratio 1 new ADS for every 15 existing ADSs Automatic exchange on the Effective Date
Effective date October 27, 2026 ADS Ratio Change
American Depositary Shares financial
"change in the ratio of its American Depositary Shares"
American depositary shares (ADSs) are a way for investors in the United States to buy shares of foreign companies without dealing with international markets directly. They represent ownership in a foreign company's stock and are traded on U.S. stock exchanges, making it easier for American investors to buy, sell, and own parts of companies from around the world.
ADS Ratio Change technical
"the “ADS Ratio Change”"
An ads ratio change is an adjustment to how many American Depositary Shares (ADS) represent one unit of a foreign company’s ordinary shares — like changing whether a cake is cut into 2 or 10 slices. Investors care because it alters the number of tradable ADS, the implied price per ADS and an investor’s ownership stake, which can affect liquidity, perceived value and comparisons of holdings across markets.
fractional entitlements financial
"fractional entitlements to new ADSs will be aggregated"
Fractional entitlements occur when a corporate action (like a dividend, stock split, rights offering or consolidation) would give a shareholder a non-whole share or security — for example, 0.5 of a share. Companies typically settle these fractions by paying a small cash amount or rounding up/down, and this matters to investors because it changes cash balances, can slightly alter ownership percentages, and may have small tax and record-keeping implications, much like receiving change after splitting a bill.
Depositary Bank financial
"as the depositary bank for the Company’s ADS program"
A depositary bank is a financial institution that holds and safeguards a company's or investor’s securities, such as stocks or bonds, in a secure account. It acts like a digital safe, ensuring that ownership records are accurate and that transactions are processed smoothly. For investors, it provides confidence that their investments are protected and correctly recorded, making buying, selling, or transferring securities reliable and efficient.

Scage Future Announces Effective Date for ADS Ratio Change

Nanjing, China, October 22, 2026 /PRNewswire/ -- Scage Future (“Scage Future” or the “Company”) (Nasdaq: SCAG), a provider of new energy and zero-emission heavy-duty commercial vehicles and e-fuel solutions, today announced the effective date and new CUSIP number for the previously announced change in the ratio of its American Depositary Shares (“ADSs”) to its ordinary shares (the “ADS Ratio”), from the current ADS Ratio of one (1) ADS to one (1) ordinary share to a new ADS Ratio of one (1) ADS to fifteen (15) ordinary shares (the “ADS Ratio Change”). The ADS Ratio Change will be effective on October 27, 2026 (the “Effective Date”).

For Scage Future’s ADS holders, the change in the ADS Ratio will have the same effect as a one-for-fifteen reverse ADS split. On the Effective Date, holders of ADSs will be entitled to receive one (1) new ADS for every fifteen (15) existing ADSs then held, and the exchange will occur automatically, with the then-held ADSs being cancelled and new ADSs being issued by Citibank, N.A., as the depositary bank for the Company’s ADS program (the “Depositary Bank”). Holders of ADSs will not be required to take any action in connection with the ADS Ratio Change.

No fractional new ADSs will be issued in connection with the change in the ADS Ratio. Instead, fractional entitlements to new ADSs will be aggregated and sold by the Depositary Bank, and the net cash proceeds from the sale of the fractional ADS entitlements (after deduction of fees, taxes and expenses) will be distributed to the applicable ADS holders by the Depositary Bank.

The change in the ADS Ratio will have no impact on Scage Future’s underlying ordinary shares, and no ordinary shares will be issued or cancelled in connection with the change in the ADS Ratio. Scage Future’s ADSs will continue to be traded on the Nasdaq Global Market under the symbol “SCAG.” In connection with the ADS Ratio Change, the CUSIP number for the ADSs will change from 80590A105 to a new CUSIP number of 80590A204, effective as of the Effective Date.

As a result of the change in the ADS Ratio, the ADS trading price is expected to increase proportionally, although the Company can give no assurance that the ADS trading price after the change in the ADS Ratio will be equal to or greater than fifteen times the ADS trading price before the change.
