Rhea-AI Filing Summary

Scinai Immunotherapeutics Ltd. (SCNI) entered into agreements on October 13, 2026, for a private placement involving 2,458,334 ADSs or pre-funded warrants in lieu, plus Series A-1 warrants for up to 3,687,501 ADSs. Each ADS represents 40,000 ordinary shares. The combined price is $1.20 per ADS and accompanying warrants, or $1.1999 per pre-funded warrant; Series A-1 warrants are immediately exercisable at $1.20 for five years.

An inducement agreement provides for immediate cash exercise of existing warrants for 879,194 ADSs at a reduced $1.20 per ADS; the investor is to receive new unregistered warrants for up to 1,318,791 ADSs. Gross proceeds from both transactions are expected to be approximately $4.0 million before fees and expenses, excluding future proceeds from exercising newly issued warrants. Closing is expected on or about October 15, 2026, subject to customary conditions.

Scinai plans to use net proceeds with existing cash for CDMO expansion, customer programs and selective immunotherapy-pipeline investment. It must file a resale registration statement within 15 calendar days of October 15, 2026, and use commercially reasonable efforts to obtain effectiveness within 60 calendar days, or 90 calendar days if the SEC elects review. Warrant exercise is subject to a 4.99% beneficial-ownership cap.

Filing Explained

A newly disclosed placement-agent warrant creates potential dilution; Scinai also agreed to agent fees and temporary restrictions on specified securities activity.

The company reports it issued its placement agent a warrant for up to 122,917 ADSs at $1.32 per ADS; if exercised, it could add shares and reduce existing holders’ percentage ownership, absent offsetting changes.

Scinai also agreed to pay the agent up to 7% of gross proceeds from the private placement and warrant inducement, plus reimbursement of transaction expenses up to $75,000.

For 60 days after the resale registration statement becomes effective, Scinai agreed not to issue ADSs, ordinary shares or equivalents or file another registration statement, subject to exceptions. For 180 days after that effective date, it agreed not to enter a defined variable-rate transaction, also subject to exceptions.

Pre-Funded Warrants financial
"Pre-Funded Warrants in lieu of Offering ADSs"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
Registration Rights Agreement regulatory
"entered into a registration rights agreement"
A registration rights agreement is a contract that gives investors the option to have their ownership stakes officially registered with the government, making it easier to sell their shares later. This agreement matters because it provides investors with a clearer path to cash out their investments if they choose, offering more liquidity and confidence in their ability to sell their holdings when desired.
beneficial ownership blockers regulatory
"subject to application of applicable beneficial ownership blockers"
Variable Rate Transaction financial
"involving a defined “Variable Rate Transaction”"
CDMO technical
"contract development and manufacturing organization (“CDMO”)"
A contract development and manufacturing organization (CDMO) is a company that provides specialized services to help develop and produce pharmaceutical products for other businesses. Think of it as a contract factory that takes a company's recipe and makes the product on their behalf. For investors, CDMOs are important because they support the growth of pharmaceutical companies and can be key partners in bringing new medicines to market.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How much gross proceeds does SCNI expect from the transactions?

Gross proceeds from the private placement and warrant-inducement transaction are expected to be approximately $4.0 million before placement-agent fees and expenses. The amount excludes future proceeds from exercising newly issued Series A-1 warrants. Closing is expected on or about October 15, 2026, subject to customary closing conditions.

What securities are included in SCNI's private placement?

The transaction includes 2,458,334 ADSs, or pre-funded warrants in lieu, plus Series A-1 warrants to purchase up to 3,687,501 ADSs. Each ADS represents 40,000 ordinary shares. The combined purchase price is $1.20 per ADS and accompanying warrants, or $1.1999 per pre-funded warrant.

What limits exercise of SCNI's warrants?

A holder may not exercise any portion of a warrant if, after exercise, the holder and the specified affiliates and aggregated persons would beneficially own more than 4.99% of the Company's outstanding ordinary shares or outstanding voting rights. The calculation follows Section 13(d) of the Exchange Act and applicable SEC regulations.

What fees did SCNI agree to pay its placement agent?

Scinai agreed to pay A.G.P./Alliance Global Partners a cash fee of up to 7.0% of gross proceeds from the private placement and inducement offer, and to reimburse transaction-expense payments of up to $75,000.

What issuance restrictions apply after SCNI's resale registration becomes effective?

Subject to certain exceptions, for 60 days following the Effective Date, Scinai agreed not to issue ADSs, ordinary shares or ordinary-share equivalents, or file another registration statement, amendment or supplement, except for the resale registration statement and a Form S-8 for an employee benefit plan. Until 180 days following the Effective Date, it is also restricted from entering into or effecting a defined Variable Rate Transaction, subject to exceptions.
