Rhea-AI Filing Summary

SDR Drone, Inc. entered into a consulting agreement with SJT Capital LLC, effective October 19, 2026, for strategic and capital-markets advice and introductions. Compensation is 250,000 common shares earned as of that date, plus 50,000 shares if the company signs an engagement letter with a registered broker-dealer introduced by SJT and 200,000 shares if its common stock is approved for listing on the New York Stock Exchange, NYSE American or the Nasdaq Stock Market. Each milestone may occur during the agreement or within 12 months after it ends. SJT will not solicit investors, negotiate offering terms, handle investor funds or receive compensation based on a financing’s completion, size or success.

The Board adopted a stock plan reserving 12,000,000 shares and authorized a Form S-8 registration statement. Options on the approved form vest in three equal annual installments subject to continued service, have a maximum 10-year term, and cannot be repriced without shareholder approval. South Carolina’s Securities Division advised SEC staff that specified disqualification should not arise from the Consent Order and confirmed required payments were made; it also said the permanent securities-industry bar in or from South Carolina remains and the letter does not authorize offers or sales there. SDR Drone said it will continue pursuing qualification of its Regulation A offering.

Filing Explained

The 250,000 consulting shares are restricted securities, and SDR Drone agreed to use commercially reasonable efforts to file a resale registration within 60 days of the agreement’s effective date, subject to eligibility; this is a filing commitment, not a completed registration.

restricted securities regulatory
"issued as restricted securities"
Restricted securities are shares or other investment instruments that come with legal or contractual limits on when and how they can be sold, like stock given to founders or bought in a private offering. Think of them as assets in a locked box that can’t be freely traded until certain conditions — such as a waiting period, company registration, or specific approvals — are met. For investors this matters because restricted securities are less liquid and can affect timing, price, and perceived value when they eventually enter the market.
Section 4(a)(2) regulatory
"in reliance on Section 4(a)(2) of the Securities Act of 1933"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.
Nonqualified Stock Option Agreement financial
"approved a form of Nonqualified Stock Option Agreement"
Rule 262(a) regulatory
"disqualification under Rule 262(a) ... should not arise"
Regulation A regulatory
"qualification of its offering statement on Form 1-A"
Regulation A is a U.S. securities rule that lets smaller or growing companies offer shares to the public with simpler paperwork and lower costs than a full stock market listing, acting as a middle ground between private fundraising and a traditional public offering. For investors it matters because it opens access to early-stage opportunities that would otherwise be private, but these offerings can carry higher risk and different disclosure standards than large, fully listed companies.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How many shares will SJT Capital receive under SDCO’s consulting agreement?

SJT is to receive 250,000 common shares, fully earned as of October 19, 2026. It may receive 50,000 more shares if SDR Drone executes an engagement letter with a registered broker-dealer SJT introduced, and 200,000 shares if the company’s common stock is approved for listing on a named national exchange. Either milestone may occur during the agreement or within 12 months after it ends.

How many shares does SDCO’s 2026 stock plan reserve, and who can receive awards?

The plan reserves 12,000,000 common shares for awards to employees, officers, directors and consultants, including executive officers. Awards may be shares of common stock, restricted stock or nonqualified stock options, and each award requires a separate Board resolution. No award may be made after December 31, 2029.

How can either party terminate SDCO’s agreement with SJT Capital?

SJT may terminate the agreement on 10 days’ written notice. SDR Drone may terminate it for convenience on 30 days’ written notice or for cause. Termination does not affect shares already earned, and the agreement runs through June 27, 2027.

Does the South Carolina letter let SDCO sell securities in South Carolina?

No. The Division stated that its advice to SEC staff does not authorize an offer or sale of securities in or from South Carolina and does not constitute state registration, an exemption or approval. It also stated that the Consent Order’s permanent bar remains in effect.

Re:Bad Actor Waiver
SC File No. 20166600—Consent Order Entered July 27, 2018, with SDR Drone, Inc., f/k/a Hallmark Venture Group, Inc.

To Whom It May Concern:

The Securities Division of the South Carolina Attorney General’s Office (the “Division”) issues this letter regarding the bad actor disqualifiers under the Securities Act of 1933 in relation to SDR Drone, Inc., f/k/a Hallmark Venture Group, Inc., a Florida corporation (the “Company”) and the Consent Order entered into with the South Carolina Securities Commissioner on July 27, 2018 (the “Consent Order”).

Under Paragraph A of the Consent Order, the Company agreed that it, along with every successor, affiliate, control person, agent, servant, and employee, and every entity owned, operated, or indirectly or directly controlled by or on behalf of the Company, would be permanently barred from participating in any aspect of the securities industry in or from the State of South Carolina. Nothing contained in this letter intends to modify, amend, rescind, limit, waive, or vacate that bar, which shall remain in full force and effect in the State of South Carolina.

The Company has made a number of representations to the Division, including that: (i) it has satisfied in full the payments required by Paragraphs B and C of the Consent Order; (ii) in 2020, the management of the Company changed; (iii) none of the persons involved with the Company as executive officers, consultants, or business partners at the time of the Consent Order has been associated with the Company in any capacity since as least August 2020; and (iv) the Company will not offer or sell securities in or from the State of South Carolina.

The Division advises staff of the Securities and Exchange Commission (the “SEC”) that disqualification under Rule 262(a) of the Securities Act of 1933 (17 C.F.R. §230.262(a)), Rule 506(d)(1) of Regulation D (17 C.F.R. §230.506(d)(1)), and Rule 503(a) of Regulation Crowdfunding (17 C.F.R. §227.503(a)), should not arise with respect to the Company as a consequence of the Consent Order. This advice is furnished pursuant to 17 C.F.R. §230.262(b)(3), 17 C.F.R. §230.506(d)(2)(ii) and 17 C.F.R. §227.503(b)(2).

The advice in this letter: (i) does not authorize any offer or sale of securities in or from the State of South Carolina by the Company or by any other person, and does not constitute a registration, exemption, or approval under the South Carolina Uniform Securities Act of 2005 (the “Act”); (ii) extends only to the Company and to no other Respondent named in the Consent Order; (iii) expresses no view on the merits of any offering by the Company, on the adequacy or accuracy of any disclosure made in any offering, or on the availability of any exemption other than as expressly stated above; (iv) is given in reliance on the written representation of the Company that no Respondent named in the Consent Order, and no person barred by it, serves or will serve as a director, officer, employee, consultant, promoter or agent of the Company, nor will such person be issued any voting equity in the Company; (v) is given in reliance on the written representation of the Company that the Company will notify the Division in writing within 10 days of any change in the facts as represented to the Division in its September 17, 2026, request letter; and (vi) is given in reliance on the written representation of the Company that the Company will disclose the existence of the Consent Order in any of its offering circulars, registration statements, and private placement memoranda.
