Rhea-AI Filing Summary

Sweetgreen, Inc. (SG) reported third-quarter fiscal 2026 revenue of $176.0 million, up 2.1% year over year, while same-store sales declined 6.4%. The company attributed the decline to a 4.9% traffic decrease and a 2.1% unfavorable product-mix change, partly offset by 0.6% from menu-price increases; it said reduced demand associated with a cyclosporiasis outbreak primarily affected traffic. Revenue from 30 net new restaurant openings contributed $13.8 million, partly offset by a $10.7 million decline in comparable-restaurant revenue.

Net loss was $30.7 million, compared with $36.1 million a year earlier, and loss from operations was $31.8 million versus $36.3 million. Restaurant-Level Profit declined to $18.3 million from $22.5 million, while Adjusted EBITDA loss widened to $6.8 million from $4.4 million. For the 39 weeks ended September 27, 2026, net cash used in operating activities was $28.457 million versus $4.042 million.

Updated fiscal 2026 outlook calls for about 10 net new restaurant openings, same-store sales change of about (5.5)%, Restaurant-Level Profit Margin of 11.0% to 11.5%, and Adjusted EBITDA between $(23.0) million and $(20.0) million. Sweetgreen expects about half as many net new restaurant openings in fiscal 2027 as in fiscal 2026.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Same-Store Sales Change financial
"Same-Store Sales Change was (6.4)%"
A measure of how sales at stores or locations that have been open for a set prior period (usually a year) change from one period to the next, excluding revenue from newly opened or closed outlets. It tells investors whether existing operations are growing or shrinking—like checking whether a garden’s plants produced more fruit this season rather than buying new plants to boost total yield—and helps separate organic demand trends from expansion effects.
Comparable Restaurant Base financial
"all restaurants that have operated for at least twelve full months"
A comparable restaurant base is the set of outlets that have been open long enough and consistently operating so their sales can be directly compared across different time periods, excluding recently opened, temporarily closed, or permanently shuttered locations. Investors watch this metric because it isolates true same-location sales trends—like checking the temperature at the same weather station over time—so they can tell whether demand is rising at existing restaurants or growth is coming mainly from adding new sites.
Restaurant-Level Profit financial
"Restaurant-Level Profit was $18.3 million"
Restaurant-level profit is the money a single location generates after paying the costs of running that restaurant—food and drink supplies, staff wages, rent, utilities and other day-to-day expenses—but before corporate overhead, interest, taxes or central investments. Investors use it like a per-store checkup: it shows whether each location’s basic business model is healthy and repeatable, helping judge unit economics, break-even points and how well growth will translate into company-wide profits.
Adjusted EBITDA financial
"Adjusted EBITDA was $(6.8) million"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Infinite Kitchen technical
"about half featuring the Infinite Kitchen"
Revenue $176.0 million +2.1% year over year
Same-Store Sales Change (6.4)% versus (9.5)%
Net loss $(30.7) million versus $(36.1) million
Adjusted EBITDA $(6.8) million versus $(4.4) million

(2) Restaurant-Level Profit, Restaurant-Level Profit Margin, Adjusted EBITDA, and Adjusted EBITDA Margin are non-GAAP measures. Reconciliations to the most directly comparable financial measures presented in accordance with GAAP, are set forth in the schedules accompanying this release.

“We believe our Sweet Growth Transformation Plan is beginning to take hold, with sales improving through the quarter and positive comparable sales in October, primarily driven by transaction growth,” said Jonathan Neman, Co-Founder and Chief Executive Officer. “We are confident in our plan to build on this progress by investing in our restaurant teams, delivering a consistently great customer experience and expanding our menu with bold, craveable food. Results for the third quarter ended September 27, 2026:

Total revenue for the third quarter of fiscal year 2026 was $176.0 million, an increase of 2.1% from the prior year period. This increase was primarily due to an increase of $13.8 million of incremental revenue associated with 30 Net New Restaurant Openings during or subsequent to the third quarter of fiscal year 2025. The increase in revenue was partially offset by a decrease in Comparable Restaurant Base revenue of $10.7 million. Same-Store Sales Change was (6.4)%, reflecting a 4.9% decrease in traffic and a 2.1% decrease in product mix, partially offset by a 0.6% benefit from menu price increases implemented during the current year period. The decline in traffic primarily reflected reduced consumer demand resulting from the cyclosporiasis outbreak impacting the current year period. The decrease in product mix primarily reflected a shift in menu mix towards wraps.

Loss from operations margin improved to (18.1)% from (21.0)% in the prior year period, primarily reflecting lower general and administrative expense and impairment and closure costs, partially offset by lower Restaurant-Level Profit Margin. Restaurant-Level Profit Margin was 10.4%, down 270 basis points versus the prior year period. The decline primarily reflected sales deleverage from the (6.4)% Same-Store Sales Change and higher labor expenses, partially offset by a one-time write-off of discontinued materials and higher packaging costs related to tariffs and duties recognized in the prior year period.

General and administrative expense was $27.6 million, or 15.7% of revenue for the third quarter of fiscal year 2026, compared with $30.9 million, or 17.9% of revenue in the prior year period. The decrease in general and administrative expense was primarily due to a $2.5 million decrease in stock-based compensation expense, primarily related to restricted stock units as well as performance-based restricted stock units issued before the company’s IPO, and a $0.5 million decrease in management salaries and benefits. These decreases were partially offset by higher marketing spend.

Net loss was $(30.7) million in the third quarter of fiscal year 2026, compared with net loss of $(36.1) million in the prior year period. The decrease in net loss was primarily due to lower general and administrative expense and impairment and closure costs, partially offset by a $4.2 million decline in Restaurant-Level Profit.

Adjusted EBITDA, which excludes stock-based compensation expense and certain other adjustments, was $(6.8) million for the third quarter of fiscal year 2026, compared with $(4.4) million in the prior year period. This change was primarily due to the $4.2 million decline in Restaurant-Level Profit.

Fiscal Year 2026 Outlook [Updated]

For fiscal year 2026, we are updating our guidance as follows:

•Approximately 10 Net New Restaurant Openings, with about half featuring the Infinite Kitchen
•Same-Store Sales Change of about (5.5)%
•Restaurant-Level Profit Margin of 11.0% to 11.5%
•Adjusted EBITDA between $(23.0) million to $(20.0) million

We expect about half as many Net New Restaurant Openings in fiscal year 2027 compared to fiscal year 2026.

We have not reconciled our expectations as to Restaurant-Level Profit Margin and Adjusted EBITDA to their most directly comparable GAAP measures as a result of uncertainty regarding, and the potential variability of, reconciling items. Accordingly, reconciliation is not available without unreasonable effort, although it is important to note that these factors could be material to our results computed in accordance with GAAP.

Glossary

•Average Unit Volume (“AUV”) - AUV is defined as the average trailing revenue for the prior four fiscal quarters for all restaurants in the Comparable Restaurant Base.

•Comparable Restaurant Base - Comparable Restaurant Base for any measurement period is defined as all restaurants that have operated for at least twelve full months as of the end of such measurement period, other than any restaurants that had a material, temporary closure or permanently closed during the relevant measurement period. A restaurant is considered to have had a material, temporary closure if it had no operations for a consecutive period of at least 30 days.

•Net New Restaurant Openings - Net New Restaurant Openings reflect the number of new Sweetgreen restaurant openings during a given reporting period, net of any permanent Sweetgreen restaurant closures during the same given period.

•Same-Store Sales Change - Same-Store Sales Change reflects the percentage change in year-over-year revenue for the relevant fiscal period for all restaurants that have operated for at least 13 full fiscal months as of the end of such fiscal period, excluding any restaurant that has had a temporary or permanent closure during any prior or current fiscal month in the relevant measurement period. We define a temporary closure as a closure of at least five days during which the restaurant would have otherwise been open; for any such temporary closure occurring during a prior or current fiscal month, such fiscal month, as well as the corresponding fiscal month for the prior or current fiscal year, as applicable, will be excluded when calculating Same-Store Sales Change for that restaurant.

•Total Digital Revenue Percentage and Owned Digital Revenue Percentage - Our Total Digital Revenue Percentage is the percentage of our revenue attributed to purchases made through all channels except Non-Digital transactions made through our In-Store Channel. Our Owned Digital Revenue Percentage is the percentage of our revenue attributed to purchases made through our Owned Digital Channels.

Non-GAAP Financial Measures

In addition to our consolidated financial statements, which are presented in accordance with GAAP, we present certain non-GAAP financial measures, including Restaurant-Level Profit, Restaurant-Level Profit Margin,
4

Adjusted EBITDA, and Adjusted EBITDA Margin. We believe these measures are useful to investors and others in evaluating our performance because these measures:
•facilitate operating performance comparisons from period to period by isolating the effects of some items that vary from period to period without any correlation to core operating performance or that vary widely among similar companies. These potential differences may be caused by variations in capital structures (affecting interest expense), tax positions (such as the impact on periods or companies of changes in effective tax rates or NOL), and the age and book depreciation of facilities and equipment (affecting relative depreciation expense);
•are widely used by analysts, investors, and competitors to measure a company’s operating performance; are used by our management and board of directors for various purposes, including as measures of performance, and as a basis for strategic planning and forecasting; and
•are used internally for a number of benchmarks, including to compare our performance to that of our competitors.
We define Restaurant-Level Profit as loss from operations adjusted to exclude general and administrative expense, depreciation and amortization, pre-opening costs, loss on disposal of property and equipment, and, in certain periods, impairment and closure costs and restructuring charges. Restaurant-Level Profit Margin is Restaurant-Level Profit as a percentage of revenue. As it excludes general and administrative expense, which is primarily attributable to our corporate headquarters, which we refer to as our Sweetgreen Support Center, we evaluate Restaurant-Level Profit and Restaurant-Level Profit Margin as a measure of profitability of our restaurants.

We define Adjusted EBITDA as net income (loss) adjusted to exclude income tax expense, interest income, interest expense, depreciation and amortization, stock-based compensation expense, loss on disposal of property and equipment, other (income) expense, our enterprise resource planning system (“ERP”) implementation and related costs, legal settlements, and, in certain periods, impairment and closure costs, restructuring charges, gain on disposal of business, and other non-recurring expenses. Adjusted EBITDA Margin is Adjusted EBITDA as a percentage of revenue.

Restaurant-Level Profit, Restaurant-Level Profit Margin, Adjusted EBITDA, and Adjusted EBITDA Margin have limitations as analytical tools, and you should not consider them in isolation or as substitutes for analysis of our results as reported under GAAP. In particular, Restaurant-Level Profit and Adjusted EBITDA should not be viewed as substitutes for, or superior to, loss from operations or net income (loss) prepared in accordance with GAAP as a measure of profitability. Some of these limitations are:
•although depreciation and amortization are non-cash charges, the assets being depreciated and amortized may have to be replaced in the future, and Restaurant-Level Profit and Adjusted EBITDA do not reflect all cash capital expenditure requirements for such replacements or for new capital expenditure requirements;
•Restaurant-Level Profit and Adjusted EBITDA do not reflect changes in, or cash requirements for, our working capital needs;
•Restaurant-Level Profit and Adjusted EBITDA do not reflect the impact of the recording or release of valuation allowances or tax payments that may represent a reduction in cash available to us;
•Restaurant-Level Profit and Adjusted EBITDA do not consider the potentially dilutive impact of stock-based compensation;
•Restaurant-Level Profit is not indicative of overall results of the Company and does not accrue directly to the benefit of stockholders, as corporate-level expenses are excluded;

•Adjusted EBITDA does not take into account any income or costs that management determines are not indicative of ongoing operating performance, such as stock-based compensation; loss on disposal of property and equipment; other (income) expense; restructuring charges; ERP implementation and related costs; legal settlements; and other expenses as described in more detail in the table reconciling our net income (loss) to Adjusted EBITDA, below; and
•other companies, including those in our industry, may calculate Restaurant-Level Profit and Adjusted EBITDA differently, which reduces their usefulness as comparative measures.
5

Because of these limitations, you should consider Restaurant-Level Profit, Restaurant-Level Profit Margin, Adjusted EBITDA and Adjusted EBITDA Margin alongside other financial performance measures, loss from operations, net income (loss), and our other GAAP results.
