Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

SHF Holdings, Inc. (SHFS) received an additional 180-calendar-day period, through April 19, 2027, to regain Nasdaq’s minimum closing bid-price requirement of $1.00 per share. The company remains listed on The Nasdaq Capital Market. Nasdaq granted the extension after determining that SHFS met the continued-listing requirement for market value of publicly held shares and other applicable initial-listing requirements, apart from the bid-price rule.

SHFS told Nasdaq it intends to cure the deficiency during the second compliance period by effecting a reverse stock split, if necessary. Compliance is restored if the closing bid is at least $1.00 per share for 10 consecutive business days during the period. If SHFS has not regained compliance by April 19, 2027, Nasdaq will notify the company that its securities are subject to delisting; SHFS may appeal, but a timely hearing request would not stay a suspension. The company said it will evaluate options to regain compliance.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Minimum Bid Price Requirement regulatory
"the Minimum Bid Price Requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
reverse stock split financial
"by effecting a reverse stock split, if necessary"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
market value of publicly held shares regulatory
"requirement for market value of publicly held shares"
The market value of publicly held shares is the total dollar worth of a company’s shares that are available to outside investors, calculated by multiplying the current market price by the number of shares held by the public (the “float”). It matters because it tells investors how much of the company is actually tradable and how the market is pricing that tradable portion—like a price tag on the items on a store shelf, it affects liquidity, volatility and how easy it is to buy or sell a meaningful stake.
Nasdaq Hearings Panel regulatory
"appeal the Staff’s delisting determination to a Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 20, 2026, SHF Holdings, Inc. (the “Company”) received a letter (the “Letter”) from the listing qualifications department staff (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) stating that the Company is eligible for an additional 180 calendar days, or until April 19, 2027, to regain compliance with Nasdaq’s requirement to maintain a minimum closing bid price of $1.00 per share for its Class A common stock, par value $0.0001 per share (the “Common Stock”), as required by Nasdaq Listing Rule 5550(a)(2) for continued listing on Nasdaq (the “Minimum Bid Price Requirement”), following the expiration of the previously disclosed initial 180 calendar day period granted to the Company by Nasdaq to regain compliance with the Minimum Bid Price Requirement by October 19, 2026.

The Staff’s determination that the Company is eligible for the additional 180 calendar day period was based on the Company meeting the continued listing requirement for market value of publicly held shares and all other applicable requirements for initial listing on The Nasdaq Capital Market with the exception of the Minimum Bid Price Requirement and the Company’s written notice of its intention to cure the deficiency during the second compliance period by effecting a reverse stock split, if necessary.

If at any time during this additional time period the closing bid price of the Common Stock is at least $1.00 per share for a minimum of 10 consecutive business days, the Staff will provide the Company with written confirmation of compliance and the matter will be closed.

If the Company does not regain compliance with the Minimum Bid Price Requirement by April 19, 2027, the Staff will provide written notification to the Company that its securities will be subject to delisting. At that time, the Company may appeal the Staff’s delisting determination to a Nasdaq Hearings Panel (the “Panel”). If the Company appeals, it will be asked to provide the Panel with a plan to regain compliance, and a timely request for a hearing would not stay the suspension of the Company’s securities from trading.

The Company intends to actively monitor the closing bid price of the Common Stock and may, if appropriate, evaluate other available options, including effecting a reverse stock split, to resolve the deficiency and regain compliance with the Minimum Bid Price Requirement. While the Company is exercising diligent efforts to maintain the listing of its securities on Nasdaq, there can be no assurance that the Company will be able to regain or maintain compliance with the Minimum Bid Price Requirement or other Nasdaq listing standards.

Safe Harbor Financial Receives Additional 180-Day Compliance Period from Nasdaq to Regain Compliance with Minimum Bid Price Requirement

Company Remains Listed on The Nasdaq Capital Market Under Symbol SHFS

DENVER (Oct. 20, 2026) — SHF Holdings, Inc., d/b/a Safe Harbor Financial (the “Company” or “Safe Harbor”) (NASDAQ: SHFS), a fintech platform serving the banking, lending and financial services needs of the regulated cannabis and hemp industries, today announced that it received written notice from The Nasdaq Stock Market LLC (“Nasdaq”) that the Company is eligible for an additional 180-calendar-day period, or until April 19, 2027, to regain compliance with Nasdaq’s minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2).

The Company was previously notified on April 22, 2026 that it no longer satisfied the minimum $1.00 bid price per share requirement and was provided an initial 180-day compliance period through October 19, 2026 to regain compliance. Nasdaq granted the additional compliance period based on the Company meeting the continued listing requirements for market value of publicly held shares and all other applicable requirements for initial listing on The Nasdaq Capital Market, with the exception of the minimum bid price requirement. The Company also provided written notice to Nasdaq of its intention to cure the deficiency during the second compliance period by effecting a reverse stock split, if necessary.

This notification has no immediate effect on the listing or trading of the Company’s common stock, which will continue to trade on The Nasdaq Capital Market under the symbol “SHFS.” If the closing bid price of the Company’s shares is at least $1.00 per share for a minimum of 10 consecutive business days at any point during the second compliance period, Nasdaq will provide written confirmation that the Company has regained compliance and the matter will be closed.

The Company will continue to monitor the closing bid price of its common stock and intends to evaluate all available options to regain compliance before the April 19, 2027 deadline.

“We are committed to meeting Nasdaq’s listing requirements and are exploring multiple strategies to regain compliance,” said Terrance Mendez, Chief Executive Officer and Chief Financial Officer of Safe Harbor. “At the same time, the operational and financial progress we have made over the past year is real. Our deposit base has grown to levels not seen since April 2024, as measured by the trailing 14-day average balance, our lending business is growing, our platform is broader and the regulatory backdrop for cannabis banking is the most favorable it has ever been.”
