Item 5.03.    Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 18, 2026, Skillz Inc. (the “Company”) changed its corporate name from Skillz Inc. to Firy Inc. (the “Name Change”) by filing a Certificate of Amendment to the Company’s Fifth Amended and Restated Certificate of Incorporation (the “Certificate of Amendment”) with the Secretary of State of the State of Delaware. The Name Change will not affect the rights of the Company’s stockholders and did not require the approval of the Company’s stockholders.
In connection with the Name Change, the Company also announced that its shares of Class A common stock will cease trading under the ticker symbol “SKLZ” and begin trading under its new ticker symbol on the New York Stock Exchange, “FIRY”, which the Company expects to be effective on June 22, 2026. The CUSIP number for the Company’s Class A common stock will not change in connection with the Name Change.
In connection with the Name Change, the Company’s Board of Directors also approved an amendment and restatement of the Company’s Amended and Restated Bylaws solely to reflect the Name Change (as amended and restated, the “New A&R Bylaws”), which also became effective as of June 18, 2026.
