The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Smart Logistics Global Ltd (SLGB) received an additional 180-calendar-day compliance period, through April 26, 2027, to meet Nasdaq’s $1.00 minimum bid price requirement. To regain compliance, the closing bid price of its Class A ordinary shares must be at least $1.00 per share for a minimum of ten consecutive business days during the additional period.

The notice has no immediate effect on the shares’ listing or trading on The Nasdaq Capital Market. If SLGB does not regain compliance by April 26, 2027, Nasdaq will issue written notification that its securities will be delisted; SLGB may appeal to a Nasdaq Hearings Panel, but a hearing request would not stay a suspension of trading. The company says it intends to regain compliance and is evaluating alternatives, including a reverse stock split if necessary.

Filing Explained

The additional compliance period is limited to curing the bid-price deficiency; the company remains obligated to comply with Nasdaq’s other listing requirements.

Additional compliance period 180 calendar days Granted through April 26, 2027
Minimum bid price $1.00 per share Nasdaq minimum bid price requirement
Compliance test 10 consecutive business days Closing bid price must be at least $1.00 per share during the additional period
Prior bid-price deficiency 30 consecutive business days Closing bid price was below $1.00 per share before Nasdaq’s May 1, 2026 notice
Initial compliance period expiration October 28, 2026 Expiration of the initial 180-calendar-day compliance period
minimum bid price requirement regulatory
"to regain compliance with the minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
continued listing requirement regulatory
"continued listing requirement for market value of publicly held shares"
Rules a stock exchange sets that a publicly traded company must follow to keep its shares listed, such as minimum share price, market value, shareholder equity, and timely financial reporting. These rules matter to investors because failing them can lead to removal from the exchange, which can make shares harder to buy or sell and often lowers their value — like a club with membership requirements where losing eligibility restricts access and signals trouble.
additional compliance period regulatory
"granting the Company an additional 180-calendar-day period"
reverse stock split technical
"including a reverse stock split if necessary"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.

EXPLANATORY NOTE

On October 29, 2026, Smart Logistics Global Limited (the “Company”) received written notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) granting the Company an additional 180-calendar-day period, until April 26, 2027, to regain compliance with the minimum $1.00 bid price per share requirement under Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”). The notice has no immediate effect on the listing or trading of the Company’s Class A ordinary shares, which continue to trade on The Nasdaq Capital Market under the symbol “SLGB.”

As previously disclosed, Nasdaq notified the Company on May 1, 2026 that it did not satisfy the Minimum Bid Price Requirement because the closing bid price of its ordinary shares had been below $1.00 per share for 30 consecutive business days. The initial 180-calendar-day compliance period expired on October 28, 2026.

Nasdaq granted the additional period under Listing Rule 5810(c)(3)(A)(ii) based on the Company’s compliance with the continued listing requirement for market value of publicly held shares and all other applicable requirements for initial listing on The Nasdaq Capital Market, other than the Minimum Bid Price Requirement, and the Company’s written notice of its intention to cure the deficiency during the additional period.

To regain compliance, the closing bid price of the Company’s Class A ordinary shares must be at least $1.00 per share for a minimum of ten consecutive business days during the additional compliance period.

The Company intends to regain compliance within the additional period. If the Company does not regain compliance by April 26, 2027, Nasdaq will issue written notification that the Company’s securities will be delisted. The Company may appeal that determination to a Nasdaq Hearings Panel, but a hearing request would not stay the suspension of trading. The additional compliance period relates solely to the bid-price deficiency and does not affect the Company’s obligation to comply with Nasdaq’s other listing requirements. There can be no assurance that the Company will regain compliance within the additional period or maintain compliance with Nasdaq’s other listing requirements.

On October 29, 2026, the Company issued a press release announcing receipt of the Nasdaq notice described above. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 6-K.
