August 26, 2025, Soluna Holdings, Inc. (the “Company”) issued a press release announcing that it had reached a key milestone
with one gigawatt (GW) of clean computing projects in either operation, construction, or development, positioning the Company to lead
the way in sustainable data center development in the United States. A copy of the press release is attached hereto as Exhibit 99.1 and
is incorporated by reference herein.
