Item 8.01 Other Events.
As
previously reported, the board of directors of Soluna Holdings, Inc. (the “Company”) scheduled the 2025 annual meeting
of stockholders of the Company (the “2025 Annual Meeting”) for August 18, 2025. The Company has moved its previously announced
record date for the determination of the Company’s stockholders entitled to notice of and to vote at the 2025 Annual Meeting from
June 30, 2025 to the close of business on July 9, 2025 (the “Record Date”). Only stockholders of record at the close of business
on the Record Date may attend and vote at the 2025 Annual Meeting or any adjournment or postponement thereof.
