Explanatory Note

This Amendment No. 1 to the Current Report on Form 8-K amends Item 5.02 of the Current Report on Form 8-K filed on September 11, 2026 (the “Original Form 8-K”) solely to correct a typographical error. As previously furnished, the Original Form 8-K reflected that Mr. Hanft had retired from the Board when, in fact, Mr. Hanft had resigned his position. This distinction has been corrected in this Amendment No. 1. No other changes have been made to the Original Form 8-K.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 8, 2026, Adam Hanft, a member of the Board of Director (the “Board”), notified The Scotts Miracle-Gro Company (the “Company”) of his resignation from the Board effective immediately. As a Class III director, Mr. Hanft’s term was set to expire at the Company’s 2028 Annual Meeting of Shareholders.

The Company’s consulting relationship with Hanft Ideas LLC, of which Mr. Hanft is the principal and Chief Executive Officer, will continue following Mr. Hanft’s resignation from the Board.
