Rhea-AI Filing Summary

The Scotts Miracle-Gro Company, through subsidiary The Scotts Company LLC, entered a separation agreement with former Executive Vice President & Chief Strategy Officer Christopher J. Hagedorn on October 13, 2026, after his September 30, 2026 departure. Benefits include 24 months of salary at regular monthly base pay, outplacement for the earlier of 12 months or acceptance of new employment, and a 24-month offset equal to the excess COBRA premium for terminated employees over his active-employee premium. His bonus equals 2.0 times his Target Bonus Opportunity, payable in two 50% installments on the first scheduled pay date after each of the first two termination anniversaries, subject to continued compliance with post-employment obligations. All agreement payments are conditioned on no revocation of his acceptance.

His fiscal 2026 incentive payout will occur in November 2026, based on target bonus through termination, actual funded-plan performance approved by the Compensation and Organization Committee, and a discretionary personal-performance factor. The 16,239 performance units granted February 16, 2024 are scheduled to vest and settle February 16, 2027, subject to performance criteria; 57,033 options vested in full on September 30, 2026 and expire 180 days after termination. Unvested options of 21,009, 5,375 and 29,649, and performance units of 8,808 and 14,599, were forfeited.

Target Bonus Opportunity financial
"equal to 2.0 times Mr. Hagedorn’s Target Bonus Opportunity"
performance units financial
"16,239 performance units and related dividend equivalents"
Performance units are company awards that become valuable only if specified business targets are met; they typically convert into shares or cash when performance goals are achieved. Think of them like a conditional bonus that turns into stock only if the company hits agreed milestones, so they align managers’ incentives with shareholders’ interests and can affect future share count, executive pay expense, and investor returns.
non-qualified stock options financial
"57,033 non-qualified stock options granted to Mr. Hagedorn"
Non-qualified stock options are a type of employee benefit that gives individuals the right to buy company shares at a set price, usually lower than the market value, within a certain period. Unlike other options that may have special tax advantages, these options are taxed as income when exercised, which can affect how much money the employee or investor ultimately gains. They are important because they can influence company compensation strategies and impact the financial outcomes for employees and investors.
restrictive covenants technical
"contains various restrictive covenants"
Restrictive covenants are contract terms that limit what a company, its executives, or shareholders can do—like rules that prohibit selling stock, starting a rival business, or taking on certain debts. Think of them as house rules that protect one party’s interests by keeping risky or competitive actions off the table. For investors they matter because these limits affect a company’s flexibility, governance, potential future value and the ease of exiting an investment.

The foregoing payments are conditioned upon Mr. Hagedorn not revoking his acceptance of the Separation Agreement as set forth therein.

In addition to the foregoing, Mr. Hagedorn is also eligible to an incentive payout pursuant to the Company’s Executive Incentive Plan for the fiscal year ended September 30, 2026. Mr. Hagedorn’s payout will occur in November 2026 and will be calculated pursuant to his target bonus amount through the Termination Date, multiplied by the actual fiscal year 2026 funded plan performance results as approved by the Compensation and Organization Committee of the Board of Directors and further adjusted by a discretionary personal performance factor.

The treatment of any equity awards granted to Mr. Hagedorn pursuant to the Long-Term Incentive Plan are subject to the provisions set forth in the applicable award agreement, including termination of employment. Specifically, the 16,239 performance units and related dividend equivalents granted to Mr. Hagedorn on February 16, 2024 will vest and settle on February 16, 2027 subject to the achievement of the underlying performance criteria specified in the award agreement. All amounts payable to Mr. Hagedorn under the Separation Agreement and the applicable award agreements will be subject to all applicable withholdings and deductions required by federal, state and local taxing authorities.

The payments and benefits described above are the only amounts to which Mr. Hagedorn is entitled under the Separation Agreement (or any other agreement). To the extent applicable, he also remains entitled to any vested benefits he had as of his Termination Date under other benefit plans or programs maintained by the Company or its subsidiaries, including The Scotts Company LLC Retirement Savings Plan, The Scotts Company LLC Executive Retirement Plan, The Scotts Company LLC Associates’ Pension Plan and The Scotts Company LLC Retiree Medical Plan.

The Separation Agreement, together with the Employee Confidentiality, Noncompetition, Nonsolicitation Agreement previously executed by Mr. Hagedorn on August 30, 2024, which will continue in effect following his departure, also contains various restrictive covenants, including covenants relating to noncompetition, confidentiality, cooperation and nonsolicitation.
