As previously reported in a Current Report on Form 8-K filed by SmartKem, Inc. (the “Company”) on March 11, 2026, the Company received on March 5, 2026 formal notice from the Staff of the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) that the Company was not in compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Rule”) for continued listing on The Nasdaq Capital Market. Nasdaq Listing Rule 5550(a)(2) requires listed securities to maintain a minimum bid price of $1.00 per share.

 

On September 10, 2026, the Staff notified the Company that the Staff has determined that, for the previous 13 consecutive business days, from August 21 through September 9, 2026, the closing bid price for the Company’s common stock has been at $1.00 per share or greater. Accordingly, the Company has regained compliance with Listing Rule 5550(a)(2) and the Staff has deemed the matter closed.
