Rhea-AI Filing Summary

SMX (Security Matters) Public Limited Company will implement a 2.8-for-1 reverse stock split, with ordinary shares beginning to trade on a post-split basis on November 9, 2026 under ticker SMX. The company says outstanding ordinary shares will fall from approximately 2.5 million to 897,717. The board set the ratio under authority shareholders approved on May 2, 2025, so separate approval for this split was not required.

After the split, outstanding options, warrants and other applicable convertible securities will be proportionately adjusted under their terms. Fractional shares will not be issued; aggregated fractional entitlements will be sold at prevailing market prices to the extent possible. Holders in book-entry form or through a bank, broker or nominee need not act; the change will appear in their accounts on or after November 10, 2026. Continental Stock Transfer & Trust Company will send exchange instructions to holders of record with stock certificates.

Filing Explained

Here, the 2.8-for-1 consolidation changes the share unit: a reverse split reduces share count and raises per-share price proportionally, while the split itself does not change company value.

Reverse stock split ratio 2.8 ordinary shares combined into 1 ordinary share Board-fixed ratio
Outstanding ordinary shares before split Approximately 2.5 million shares Before the reverse stock split
Outstanding ordinary shares after split 897,717 shares After the reverse stock split
Nominal value before split $0.00000000558603475 per ordinary share Before the reverse stock split
Nominal value after split $0.0000000156408973 per ordinary share After the reverse stock split
reverse stock split financial
"the reverse stock split of the Company’s ordinary shares"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
fractional entitlements financial
"aggregate the fractional entitlements of shareholders"
Fractional entitlements occur when a corporate action (like a dividend, stock split, rights offering or consolidation) would give a shareholder a non-whole share or security — for example, 0.5 of a share. Companies typically settle these fractions by paying a small cash amount or rounding up/down, and this matters to investors because it changes cash balances, can slightly alter ownership percentages, and may have small tax and record-keeping implications, much like receiving change after splitting a bill.
book-entry form technical
"shares held in book-entry form"
A book-entry form is an electronic record showing ownership of securities instead of a paper certificate; think of it like a bank account ledger that notes who owns shares. It matters to investors because it makes buying, selling and transferring securities faster, safer and cheaper by reducing paperwork, loss or forgery risk, and enabling easier settlement through brokers or a central depository.
exchange agent technical
"acting as exchange agent for the reverse stock split"
An exchange agent is a third party appointed to handle the practical steps when securities are being swapped, such as during mergers, tender offers, or restructurings. Think of it as a trusted post office that collects old shares, verifies ownership, completes required paperwork and regulatory filings, and delivers the new shares or cash to investors; its efficiency and accuracy affect how quickly and safely investors receive the value they're owed.
Split Ratio 1-for-2.8 reverse split
Effective Date November 9, 2026
Shares Before Split 2,500,000
Shares After Split 897,717
