Effective October 17, 2025, Herschel J. Walker resigned as a member of the board of directors of Sotherly Hotels Inc. (“Sotherly” or the “Company”), a Maryland corporation and the sole general partner of Sotherly Hotels LP, a Delaware limited partnership.

Mr. Walker’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
