SunPower
Inc. (the “Company”) has determined that it will not be able to file its Annual Report on Form 10-K for the fiscal
year ended December 28, 2025 (the “2025 Form 10-K”) within the prescribed time period for such filing without unreasonable
effort or expense. The Company has dedicated significant resources to completing the Form 10-K and is working diligently to complete
the necessary work to file the 2025 Form 10-K as soon as practicable. The Company requires more time to complete the procedures relating
to its year-end reporting process.
