Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Scully Royalty Ltd. (SRL) received an additional trading period from the NYSE through January 31, 2027, subject to ongoing reassessment, to complete and file its delayed 2025 Form 20-F and subsequent delayed filings. The company did not file the annual report by the prescribed deadline for the fiscal year ended December 31, 2025.

The NYSE said SRL remains under review and will be closely monitored. Its securities will retain the “LF” indicator, and SRL will remain on the NYSE late filer list until current with all SEC periodic filings. If SRL does not file the 2025 Form 20-F by January 31, 2027, the NYSE may initiate suspension and delisting procedures; it may also accelerate trading suspension before then. SRL engaged EliteCPA P.C. as its independent registered public accounting firm for the audit of its 2025 financial statements.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Rules a stock exchange sets that a publicly traded company must keep meeting to stay listed and tradable on that exchange, such as minimum share price, market value, timely financial reports, and basic governance practices. Like a club’s membership rules, they matter because falling short can lead to warnings, penalties or removal from the exchange, which can cut liquidity, hurt share value and increase the risk for investors.

An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.

SCULLY ROYALTY RECEIVES ADDITIONAL TRADING PERIOD FROM NYSE

FOR DELAYED FILING OF 2025 FORM 20-F

New York (November 3, 2026) Scully Royalty Ltd. (NYSE: SRL) (the "Company") today announced that, further to its news release of July 8, 2026, it received a letter dated October 28, 2026 from NYSE Regulation regarding the continued trading of the Company’s securities on the New York Stock Exchange (the “NYSE”). The NYSE’s Listings Operations Committee has agreed to provide the Company with an additional trading period through January 31, 2027, subject to reassessment on an ongoing basis.

As previously disclosed, the Company was unable to finalize and file its Annual Report on Form 20-F for the fiscal year ended December 31, 2025 (the “2025 Form 20-F”) by the prescribed filing deadline. The additional trading period allows the Company additional time to complete and file the 2025 Form 20-F and any subsequent delayed filings to regain compliance with the NYSE’s continued listing requirements.

The NYSE has informed the Company that the Company remains under review and that the NYSE will closely monitor the Company. If the Company is unable to file the 2025 Form 20-F by January 31, 2027, the NYSE may move forward with the initiation of suspension and delisting procedures. The NYSE has informed the Company that the NYSE will maintain the “LF” indicator on the Company’s securities and that the Company will remain on the NYSE’s “late filer” list on www.nyse.com until the Company is current with all of its periodic filings with the SEC.

As previously disclosed, the Company has engaged EliteCPA P.C. as its independent registered public accounting firm in connection with the audit of the Company’s financial statements for the fiscal year ended December 31, 2025, necessary to prepare and file the Company’s 2025 Form 20-F. The Company is working diligently to complete and file the 2025 Form 20-F as soon as practicable. The Company intends to continue its efforts to complete the delayed filings within the periods granted by the NYSE and to maintain its NYSE listing. However, there can be no assurance that the Company will be able to complete and file the 2025 Form 20-F or any other delayed filings within the periods granted by the NYSE or at all, or that the NYSE will not accelerate trading suspension prior to the end of the additional trading period or move forward with the initiation of suspension and delisting procedures. Any suspension of trading in, or delisting of, the Company’s securities could adversely affect the liquidity and market price of the Company’s securities.
