On November 3, 2025, Shutterstock, Inc. (the “Company”) issued a press release (“Press Release”) announcing that the UK’s Competition and Markets Authority (the “CMA”) has referred the Company’s previously announced merger with Getty Images Holdings, Inc. (“Getty Images”) to a Phase 2 review process.  Getty Images offered comprehensive remedies to avoid a Phase 2 review and the Company is disappointed at the CMA’s decision but remains committed to the proposed merger and will continue to engage with the CMA and work with Getty Images to expeditiously secure the necessary clearances.
