Rhea-AI Filing Summary

Sunrise Realty Trust, Inc. (SUNS) reported that its stockholders approved the issuance of approximately 8,464,955 shares of common stock, subject to certain adjustments, under its merger agreement with Southern Realty Trust Inc. At the October 23, 2026 special meeting, votes were 7,365,863 for, 640,115 against and 35,579 abstentions; 8,041,557 shares were voted. There were 13,515,851 SUNS shares outstanding and entitled to vote as of September 10, 2026. The adjournment proposal was not submitted because the issuance proposal passed.

The board declared a prorated cash dividend of $0.09 per share for the quarter through the day before the merger closes, payable November 5, 2026, to holders of record November 2, 2026. The merger is expected to close on or around November 5, 2026, subject to customary closing conditions; the company said it cannot assure the conditions will be met by then or that the merger will close. At closing, Southern Realty Trust will merge into Sunrise Merger Sub, LLC, which will survive as SUNS's wholly owned subsidiary, and SUNS common stock will continue trading under SUNS on Nasdaq.

Filing Explained

SUNS stockholders approved the proposed issuance of about 8,464,955 shares for the merger; closing remains subject to customary conditions, so approval is not a completed issuance. If issued, those shares would increase the total share count and reduce existing holders’ percentage ownership, absent offsetting changes.

Stub Period Dividend $0.09 per share Payable November 5, 2026
Stub Period Dividend financial
"the “Stub Period Dividend”"
A stub period dividend is a payment made to shareholders that covers an unusually short or partial financial period—think of receiving rent for just a few days instead of a full month. It matters because it changes the amount and timing of income investors receive, affects short-term yield calculations and tax timing, and can signal how management plans to align future dividend schedules after a corporate change.
Record Date technical
"the “Record Date” for the Special Meeting"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
quorum technical
"which constituted a quorum for the transaction of business"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
broker non-votes technical
"there were no broker non-votes in connection with the Stock Issuance Proposal"
Broker non-votes occur when a brokerage firm is unable to vote on a shareholder’s behalf during a company election or decision because the shareholder has not given specific voting instructions, and the broker is not allowed or chooses not to vote on certain matters. They are important because they can affect the outcome of votes, especially when the results are close, by effectively reducing the total number of votes cast.
customary closing conditions technical
"subject to the satisfaction of customary closing conditions"
"Customary closing conditions" are standard rules or checks that must be met before a business deal can be finalized, like making sure all paperwork is in order or that certain approvals are obtained. They matter because they help protect both parties, ensuring everything is in place and reducing the risk of surprises or problems after the deal is closed.
